- This Purchase Order constitutes a formal engagement of the named Psychologist, Dr. Thandiwe Mokoena, to provide professional psychological services to Savanna Corporate Wellness Group (Pty) Ltd at its registered offices in Johannesburg, South Africa. The Psychologist shall operate in full compliance with the Health Professions Council of South Africa (HPCSA) code of conduct and all applicable South African legislation.
- All services described in this Purchase Order shall be rendered at the client's premises located in Sandton, Johannesburg, South Africa, unless otherwise agreed in writing by both parties. The Psychologist is expected to be physically present at the Johannesburg site for a minimum of four (4) full working days per month.
- The Psychologist shall maintain strict confidentiality in accordance with the Protection of Personal Information Act (POPIA) of South Africa. All client records, session notes, and assessment reports generated in the course of this engagement shall be stored securely and shall not be disclosed to any third party without written consent from the employee concerned, except where required by South African law.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Psychologist. Invoices must be submitted to the Finance Department at Savanna Corporate Wellness Group, Sandton, Johannesburg, and must include the Psychologist's HPCSA registration number, VAT registration number, and a detailed breakdown of services rendered during the billing period.
- The Psychologist shall provide a written monthly activity report to the Human Resources Director by the fifth (5th) business day of the following month. This report shall summarise the number of sessions conducted, general trends in employee mental health (in anonymised form), and any recommendations for organisational wellness improvements within the Johannesburg workplace.
- This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the Psychologist shall be compensated for all services rendered up to the effective date of termination, and all outstanding invoices shall be settled in full.
- The Psychologist shall carry professional indemnity insurance with a minimum cover of R2,000,000 (Two Million Rand) for the duration of this Purchase Order. A certificate of insurance shall be provided to the client prior to the commencement date of 01 July 2025.
- All disputes arising from this Purchase Order shall be resolved in accordance with the laws of the Republic of South Africa, and the courts of jurisdiction shall be those of the Gauteng Division, Johannesburg, South Africa.
- The Psychologist acknowledges that this Purchase Order is subject to the client's internal procurement policies and that any amendments to the scope of services must be documented in a written addendum signed by both parties.
