4. Terms and Conditions

This Purchase Order constitutes a binding agreement between the Buyer and the Psychologist upon signature by both parties. All services described herein shall be rendered in South Korea Seoul in accordance with the timelines specified in the attached Service Schedule (Appendix A).
The Psychologist shall maintain full professional licensure with the Korean Board of Psychology throughout the duration of this Purchase Order. Any lapse in licensure shall constitute immediate grounds for termination without penalty to the Buyer.
Confidentiality: The Psychologist shall treat all employee data, session notes, and assessment results as strictly confidential in compliance with the Personal Information Protection Act of South Korea. No information shall be disclosed to third parties without written consent from the affected employee, except as required by law.
Payment shall be made within thirty (30) calendar days of receipt of a valid invoice. Invoices must reference this Purchase Order number (PO-SEOUL-PSY-2025-0047) and include the Psychologist's VAT registration number.
The Psychologist is engaged as an independent contractor and not as an employee of the Buyer. The Psychologist shall be responsible for all applicable taxes, social insurance contributions, and professional liability insurance in the Republic of Korea.
Service delivery location: All in-person sessions, workshops, and assessments shall take place at the Buyer's premises in South Korea Seoul (Gangnam-gu) or at the Psychologist's registered practice in Yongsan-gu, Seoul, as mutually agreed upon in writing prior to each engagement.
Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Buyer shall pay for all services rendered up to the termination date.
Disputes arising from this Purchase Order shall be resolved through mediation in Seoul, South Korea, in accordance with the Commercial Arbitration Rules of the Korean Commercial Arbitration Board.
The Psychologist shall provide a minimum of 48 hours' written notice for any cancellation or rescheduling of a session. Cancellations within 24 hours shall be subject to a 50% fee for the scheduled session.

IMPORTANT NOTE: This Purchase Order is specifically tailored for the engagement of a licensed Psychologist operating within the jurisdiction of South Korea Seoul. All professional services must comply with the Mental Health Welfare Act (정신건강복지법), the Personal Information Protection Act, and the standards established by the Korean Board of Psychology. The Psychologist must hold a valid practice license registered in Seoul Metropolitan City. 5. Acceptance and Authorization

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Psychologist in South Korea Seoul.
