1. This Purchase Order is issued by Thames Valley Health & Wellbeing Trust, a registered body operating in London, United Kingdom, and constitutes a formal request for the provision of professional psychological services as outlined herein. The Psychologist named as the service provider shall deliver all services in accordance with the standards set by the British Psychological Society (BPS) and the Health and Care Professions Council (HCPC).
2. The Psychologist shall maintain full professional indemnity insurance with a minimum cover of £5,000,000 throughout the duration of this Purchase Order. Evidence of such insurance must be provided prior to the commencement of services on 01 September 2025.
3. All services shall be delivered at the premises of the Issuing Organisation located in London, United Kingdom, unless otherwise agreed in writing. The Psychologist is expected to be available on-site during standard business hours (08:30–17:30, Monday to Friday) and to respond to on-call requests within 30 minutes during emergency situations.
4. Invoicing shall be submitted monthly in arrears to the procurement department of the Trust. Payment shall be made within 30 days of receipt of a valid invoice in accordance with the Public Sector Payment Regulations 2013 applicable in the United Kingdom. Late payment interest shall accrue at the rate prescribed by law.
5. The Psychologist shall comply with all data protection obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. All patient records, assessment reports, and clinical notes generated under this Purchase Order shall be stored securely in London, United Kingdom, and shall not be transferred outside the UK without explicit written consent from the Trust.
6. Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Psychologist shall be compensated for all services rendered up to the effective date of termination. No further liability shall attach to either party beyond the scope of this Purchase Order.
7. This Purchase Order is governed by and shall be construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the courts of London, United Kingdom.
8. The Psychologist warrants that all services provided under this Purchase Order shall be performed with the skill, care, and diligence expected of a reasonably competent chartered Psychologist practising in London, United Kingdom, and in full compliance with the BPS Code of Ethics and Conduct.
