This Purchase Order is issued by San Martín Diagnostic Imaging Center S.A. to formally engage the services of Dr. Mariana López Herrera, a licensed and certified Radiologist registered with the Colegio de Médicos de la Ciudad Autónoma de Buenos Aires, for the provision of diagnostic imaging interpretation, clinical consultation, and related radiological services within the premises and operational jurisdiction of Buenos Aires, Argentina. This document constitutes a binding commercial agreement for the procurement of specialized medical professional services in accordance with the applicable regulations of the Argentine National Health Ministry (Ministerio de Salud de la Nación) and the local health authority of the Ciudad Autónoma de Buenos Aires.

5. Terms and Conditions

1. Regulatory Compliance: The Radiologist shall perform all services in strict compliance with the Argentine National Health Law (Ley 26.529), the radiation safety regulations issued by the Comisión Nacional de Energía Atómica (CNEA), and all applicable ordinances of the Ciudad Autónoma de Buenos Aires governing medical practice and diagnostic imaging.
2. Professional Liability: The Radiologist shall maintain a valid professional liability insurance policy (seguro de responsabilidad civil profesional) with a minimum coverage of ARS 50,000,000, issued by an insurer authorized to operate in Argentina. A certificate of insurance shall be provided prior to the commencement of services.
3. Confidentiality and Data Protection: All patient information accessed by the Radiologist in the course of this Purchase Order shall be handled in accordance with Argentine Law 25.326 on Personal Data Protection (Ley de Protección de los Datos Personales) and the applicable regulations of the Buenos Aires health authority. No patient data shall be transferred outside the jurisdiction of Argentina without explicit written consent.
4. Payment Schedule: Invoices shall be submitted monthly by the 5th business day for services rendered in the preceding month. Payment shall be made via electronic bank transfer (transferencia bancaria) to the account designated by the Radiologist within thirty (30) calendar days of invoice receipt. Late payments shall accrue interest at the rate established by the Banco Central de la República Argentina (BCRA).
5. Tax Obligations: The Radiologist shall be responsible for the declaration and payment of all applicable taxes, including but not limited to Impuesto al Valor Agregado (IVA) at the general rate of 21%, Ganancias, and any municipal taxes applicable in Buenos Aires. The Purchasing Entity shall withhold applicable taxes as required by Argentine tax law (Ley de Impuesto a las Ganancias, Art. 97).
6. Termination: Either party may terminate this Purchase Order with a written notice of thirty (30) days. In the event of termination for cause, the Radiologist shall be compensated for all services rendered up to the effective date of termination. Termination shall not affect obligations accrued prior to the termination date.
7. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Argentine Republic. Any dispute arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts of the Ciudad de Buenos Aires, Argentina. The parties agree to attempt mediation before initiating any judicial proceedings.
8. Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated closures, or strikes affecting the Buenos Aires metropolitan area, provided that the affected party notifies the other within 48 hours.
9. Intellectual Property: All diagnostic reports, imaging interpretations, and clinical documentation produced by the Radiologist under this Purchase Order shall be the property of San Martín Diagnostic Imaging Center S.A. The Radiologist retains the right to use anonymized case material for academic and educational purposes.

6. Acceptance and Authorization

By signing below, both parties acknowledge that this Purchase Order represents a mutual agreement for the procurement of Radiologist professional services in Buenos Aires, Argentina. This document is executed in two (2) original copies, one for each party, and carries equal legal force under Argentine commercial law (Código Comercial de la Nación / Código Civil y Comercial de la Nación).
