This Purchase Order is issued by Sydney Metropolitan Diagnostic Imaging Centre Pty Ltd to engage the services of a qualified Consultant Radiologist, Dr. James A. Whitfield, for the provision of diagnostic radiology interpretation services at the facility located in Australia Sydney. The Radiologist shall be responsible for the interpretation of all imaging studies including but not limited to computed tomography (CT), magnetic resonance imaging (MRI), digital radiography, and ultrasound examinations conducted at the Sydney facility. The engagement of this Radiologist is critical to maintaining the diagnostic imaging capacity of the centre and ensuring compliance with the Australian Radiation Protection and Nuclear Safety Authority (ARPANSA) regulations and the Royal Australian and New Zealand College of Radiologists (RANZCR) standards of practice.

- Engagement Period: This Purchase Order covers a twelve (12) month engagement period commencing on 1 July 2025 and concluding on 30 June 2026, unless terminated earlier in accordance with Clause 9.
- Compliance: The Radiologist shall maintain valid general registration with the Australian Health Practitioner Regulation Agency (AHPRA) and hold current Fellowship with the Royal Australian and New Zealand College of Radiologists (RANZCR) throughout the duration of this Purchase Order.
- Work Location: All services under this Purchase Order shall be rendered at the Sydney Metropolitan Diagnostic Imaging Centre, 1 Macquarie Place, Sydney NSW 2000, Australia, or at such other location in Australia Sydney as mutually agreed in writing.
- Reporting Standards: The Radiologist shall produce all diagnostic reports in accordance with RANZCR guidelines, the Australian Commission on Safety and Quality in Health Care (ACSQHC) standards, and applicable New South Wales health legislation.
- Confidentiality: The Radiologist shall comply with the Privacy Act 1988 (Cth), the Notifiable Data Breaches scheme, and all patient confidentiality obligations under Australian law. All patient imaging data shall be stored and transmitted in accordance with the Australian Privacy Principles.
- Payment: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice in accordance with Australian Taxation Office requirements. Payment shall be made via electronic funds transfer (EFT) to the bank account nominated by the Radiologist.
- Insurance: The Radiologist shall maintain professional indemnity insurance with a minimum limit of $20,000,000 per claim and $40,000,000 in the aggregate, and public liability insurance with a minimum limit of $20,000,000. Certificates of insurance shall be provided upon request.
- Intellectual Property: All diagnostic reports, images, and clinical data generated during the course of this Purchase Order shall remain the property of Sydney Metropolitan Diagnostic Imaging Centre Pty Ltd.
- Termination: Either party may terminate this Purchase Order by providing ninety (90) days written notice. Termination for cause may be effected with fourteen (14) days written notice in the event of material breach, loss of AHPRA registration, or disciplinary action by RANZCR.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New South Wales, Australia. Any disputes shall be resolved in the courts of Australia Sydney or by arbitration under the rules of the Australian Disputes Centre.
- Anti-Bribery: Both parties warrant compliance with the Criminal Code Act 1995 (Cth) and the Australian Anti-Corruption Act 2020. No part of the consideration under this Purchase Order shall constitute a bribe or improper benefit.
This Purchase Order is issued as a formal request for the engagement of the Radiologist named herein. Acceptance of this Purchase Order by the Radiologist shall constitute a binding agreement for the provision of services as described. No variation to this Purchase Order shall be valid unless made in writing and signed by both parties.
