This Purchase Order is issued by Shastro Medical Diagnostics Center, Bangladesh Dhaka, to formally engage the services of a qualified Radiologist for a period of twelve (12) months. The Radiologist, Dr. Farhana Akhter, shall provide comprehensive diagnostic imaging interpretation services, including but not limited to X-ray, Computed Tomography (CT), Magnetic Resonance Imaging (MRI), and Ultrasound examinations. The Radiologist is expected to be physically present at the Bangladesh Dhaka facility located in Banani, Dhaka-1213, for a minimum of five (5) working days per week, from 9:00 AM to 5:00 PM, with availability for emergency on-call rotations as per the center's operational schedule.

3.1 This Purchase Order constitutes a binding agreement between Shastro Medical Diagnostics Center, Bangladesh Dhaka, and the named Radiologist for the duration specified herein. All services shall be rendered in accordance with the standards set by the Bangladesh Medical and Dental Council (BMDC) and the Bangladesh Radiology Association.

3.2 The Radiologist shall maintain valid professional registration with the BMDC and shall provide proof of registration upon request. Any lapse in registration shall constitute grounds for immediate termination of this Purchase Order.

3.3 The Radiologist shall adhere to all data protection and patient confidentiality regulations as mandated by the Digital Security Act of Bangladesh and applicable medical ethics codes. All patient imaging data processed at the Bangladesh Dhaka facility shall be stored securely and shall not be disclosed to any third party without written patient consent.

3.4 Payment shall be processed via bank transfer to the account designated by the Radiologist. Invoices must be submitted by the 5th of each month for services rendered in the preceding month. Late payments beyond the Net 30-day window shall incur a penalty of 2% per month as per Bangladesh commercial practice.

3.5 Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for cause, the terminating party shall provide a detailed written explanation of the breach.

3.6 The Radiologist shall carry professional indemnity insurance with a minimum coverage of BDT 5,000,000, valid throughout the contract period, and shall provide a certificate of insurance to the center's administration office in Bangladesh Dhaka prior to commencing duties.

3.7 All disputes arising from this Purchase Order shall be resolved through arbitration in Dhaka, Bangladesh, in accordance with the Arbitration Act, 2001 of Bangladesh. The language of arbitration shall be English.

The Radiologist shall commence all professional services on or before 1 July 2025 at the Shastro Medical Diagnostics Center premises in Banani, Bangladesh Dhaka. The contract period shall extend through 30 June 2026, subject to mutual renewal discussions initiated no later than 30 May 2026. The Radiologist is expected to report to the center's administrative office for orientation, system access provisioning, and familiarization with the center's Picture Archiving and Communication System (PACS) infrastructure within the first three (3) working days of commencement.

By signing below, both parties acknowledge that this Purchase Order for Radiologist services in Bangladesh Dhaka has been reviewed, understood, and accepted in full. This document, together with any attached annexures, forms the complete agreement between the parties regarding the engagement described herein.
