The Radiologist shall provide comprehensive diagnostic imaging interpretation services, including but not limited to the reading and reporting of X-rays, computed tomography (CT) scans, magnetic resonance imaging (MRI) studies, ultrasound examinations, and mammography screenings performed at the facility in São Paulo, Brazil.

The Radiologist is expected to maintain full compliance with the regulations established by the Brazilian Federal Council of Medicine (Conselho Federal de Medicina – CFM) and the São Paulo State Medical Council (Conselho Regional de Medicina de São Paulo – CRM-SP). All diagnostic reports must be issued in accordance with the current standards of the Brazilian College of Radiology (Colégio Brasileiro de Radiologia e Diagnóstico por Imagem – CBRI).

All payments under this Purchase Order shall be processed in Brazilian Reais (BRL) via bank transfer (TED/PIX) to the account designated by the Radiologist. Monthly professional fees (Item 1) shall be due on the 5th business day of each month, covering services rendered in the preceding calendar month. On-call shift payments (Item 2) shall be settled within 10 business days following the completion of each shift. Interventional radiology procedure fees (Item 3) shall be invoiced on a per-procedure basis and paid within 15 business days of service delivery.

Tax withholdings applicable under Brazilian federal, state (São Paulo), and municipal tax regulations shall be deducted at source in accordance with the Radiologist's registered professional classification (Pessoa Física or Pessoa Jurídica). The issuing entity shall provide the Radiologist with the appropriate tax documentation (Recibo de Pagamento – RPA or Nota Fiscal) for each payment cycle.

The Radiologist engaged under this Purchase Order must hold a valid and active registration with the CRM-SP (São Paulo State Medical Council) and must maintain all required subspecialty certifications in Radiology and Diagnostic Imaging. The Radiologist shall adhere to all data protection obligations under the Brazilian General Data Protection Law (Lei Geral de Proteção de Dados – LGPD, Law No. 13.709/2018) when handling patient imaging records and diagnostic reports generated at the São Paulo facility.

The Radiologist is further required to comply with the radiation safety protocols established by the Brazilian National Nuclear Energy Commission (Comissão Nacional de Energia Nuclear – CNEN) and to maintain professional liability insurance (seguro de responsabilidade civil) with a minimum coverage of R$ 5,000,000.00, valid throughout the contract term in the state of São Paulo, Brazil.

Diagnostic reports issued by the Radiologist must be completed within 24 hours for routine studies and within 4 hours for urgent or emergency imaging performed at the São Paulo facility. The Radiologist shall participate in a minimum of 95% of scheduled quality assurance peer review sessions. Failure to meet these performance standards for two consecutive months shall constitute grounds for review of this Purchase Order by the Hospital's Medical Director and Procurement Department.

Either party may terminate this Purchase Order with a written notice of 60 (sixty) calendar days. In the event of termination for cause (including but not limited to loss of CRM-SP registration, gross professional negligence, or violation of LGPD data protection obligations), the terminating party may issue notice with an effective date of 15 (fifteen) calendar days. All services rendered up to the effective termination date shall be invoiced and paid in full.
