Terms & Conditions of This Purchase Order

1. Scope of Engagement: This Purchase Order constitutes a binding agreement between Northlake Medical Centre (hereinafter "the Buyer") and Dr. Elena Vasquez, a licensed Radiologist registered with the College of Physicians and Surgeons of Ontario (hereinafter "the Radiologist"), for the provision of diagnostic radiology interpretation, interventional radiology supervision, and related professional services at the Buyer's facility located in Canada Toronto.
2. Service Period: The Radiologist shall render all services described in the line items above for a period of twelve (12) months commencing July 1, 2025, and concluding June 30, 2026, unless terminated earlier in accordance with Clause 8.
3. Payment Terms: Invoices submitted by the Radiologist shall be paid within thirty (30) calendar days of receipt of a valid invoice. All payments shall be made in Canadian Dollars (CAD) via electronic funds transfer (EFT) to the account designated by the Radiologist. Late payments shall accrue interest at the rate of 1.5% per month as permitted under the Ontario Interest Act.
4. Compliance & Licensure: The Radiologist warrants that she holds an active, unrestricted license to practise medicine in the province of Ontario, Canada, and that all radiology interpretations shall be performed in full compliance with the standards set forth by the College of Physicians and Surgeons of Ontario, the Canadian Association of Radiologists (CAR), and applicable federal and provincial health regulations governing the Canada Toronto metropolitan area.
5. Confidentiality & Patient Privacy: The Radiologist shall adhere strictly to the Personal Information Protection and Electronic Documents Act (PIPEDA) and the Ontario Health Information Act, 2004 (HIA) in handling all patient imaging data, reports, and clinical information. No patient-identifiable information shall be disclosed to any third party without written consent or as otherwise required by law.
6. Insurance & Indemnification: The Radiologist shall maintain, at her own expense, a minimum of $5,000,000 in professional liability (malpractice) insurance coverage throughout the term of this Purchase Order. A certificate of insurance naming Northlake Medical Centre as an additional insured shall be provided prior to the commencement of services.
7. Quality Assurance: The Radiologist shall participate in monthly peer-review sessions and annual quality assurance audits as outlined in Line Item 6. All radiology reports shall be generated within the turnaround times specified in the attached Service Level Agreement (SLA) — 24 hours for routine studies and 4 hours for urgent/stat requests.
8. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. The Buyer may terminate immediately for material breach, loss of medical licensure, or failure to maintain required insurance. Upon termination, the Radiologist shall be compensated for all services rendered up to the effective date of termination.
9. Governing Law & Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Canada Toronto (Ontario).
10. Entire Agreement: This Purchase Order, together with any attached exhibits, the SLA, and the Radiologist's standard terms of engagement, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter hereof.
