This Purchase Order is issued by Beijing Capital Medical Imaging Center Co., Ltd. to formally engage the services of a qualified Radiologist for the provision of diagnostic and interventional radiology services at our facility located in China Beijing. The Radiologist shall perform all duties in accordance with the National Health Commission of the People's Republic of China regulations, the Beijing Municipal Health Bureau guidelines, and the internal clinical protocols of this institution.

The scope of work under this Purchase Order includes, but is not limited to: performing and interpreting computed tomography (CT) scans, magnetic resonance imaging (MRI) studies, digital radiography, ultrasound examinations, fluoroscopic procedures, and interventional radiology procedures. The Radiologist shall also be responsible for quality assurance of all imaging reports, participation in multidisciplinary tumor boards, mentoring of junior radiology residents, and compliance with radiation safety standards as mandated by the China National Bureau of Quality and Technical Supervision.

4.1 This Purchase Order constitutes a binding agreement between Beijing Capital Medical Imaging Center Co., Ltd. (hereinafter "the Purchaser") and the named Radiologist (hereinafter "the Service Provider") for the duration of twelve (12) months commencing 1 August 2025 and expiring 31 July 2026, unless renewed in writing by both parties.

4.2 The Radiologist shall maintain all required professional licenses, malpractice insurance (minimum coverage of CNY 5,000,000 per claim), and radiation safety certifications as required by the China Beijing Municipal Health Commission throughout the term of this Purchase Order.

4.3 Payment shall be made on a monthly basis via bank transfer to the account specified in Section 1, within fifteen (15) business days of the end of each calendar month. All payments are subject to the Radiologist submitting a valid invoice and a completed timesheet approved by the Department Head of Radiology.

4.4 The Service Provider shall comply with all data protection and patient privacy requirements under the Personal Information Protection Law of the People's Republic of China and the Beijing Municipal Health Data Management Regulations. All patient imaging data shall be stored exclusively on the institution's secure PACS system located in China Beijing.

4.5 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination for cause, the terminating party shall provide a detailed written explanation of the breach.

4.6 All disputes arising from this Purchase Order shall be resolved through arbitration under the Beijing Arbitration Commission in accordance with its rules of arbitration. The seat of arbitration shall be China Beijing.

4.7 This Purchase Order is governed by the laws of the People's Republic of China, with specific reference to the Civil Code of the PRC and the Regulations on Medical Institutions.

NOTE: This Purchase Order is subject to approval by the Beijing Municipal Health Bureau for the practice of a foreign-trained or cross-district Radiologist. The Service Provider must present a valid work permit (if applicable) and a Chinese medical practice registration card before the commencement date. All clinical activities must be conducted at the registered facility address in China Beijing.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of Radiologist services at the China Beijing facility.
