This Purchase Order is issued by Shanghai Huadong Medical Imaging Center Co., Ltd. (hereinafter referred to as the "Purchaser") to formally procure the professional services of a qualified Radiologist for the period specified herein. The Radiologist engaged under this Purchase Order shall provide comprehensive diagnostic imaging interpretation, interventional radiology procedures, and clinical consultation services at the Purchaser's primary facility located in China Shanghai. This Purchase Order constitutes a binding agreement between the parties and shall be governed by the laws of the People's Republic of China, with specific reference to the medical practice regulations enforced by the Shanghai Municipal Health Commission.

• 3.1 The Radiologist shall maintain a valid practicing license issued by the National Health Commission of the People's Republic of China and a supplementary registration with the Shanghai Municipal Health Commission for the entire duration of this Purchase Order.
• 3.2 All diagnostic reports and imaging interpretations shall be delivered within the turnaround times specified by the Purchaser's clinical protocols. Emergency reports shall be issued within thirty (30) minutes of image acquisition.
• 3.3 The Radiologist shall comply with all radiation safety standards as mandated by the China Shanghai Environmental Protection Bureau and the National Nuclear and Radiation Safety Administration.
• 3.4 Payment shall be made in monthly installments via bank transfer to the account designated by the Radiologist. Invoices must be submitted by the 5th of each month for the preceding month's services. Payment terms: Net 30 days from invoice date.
• 3.5 This Purchase Order may be terminated by either party with sixty (60) days' written notice. In the event of termination, all completed services shall be settled in full within fifteen (15) business days.
• 3.6 The Radiologist shall carry professional medical malpractice insurance with a minimum coverage of CNY 5,000,000 per claim, maintained throughout the term of this Purchase Order.
• 3.7 All patient data and imaging records shall be handled in strict accordance with the Personal Information Protection Law of the People's Republic of China and the Shanghai Municipal Data Security Regulations.
• 3.8 Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Arbitration Center (SHIAC) in accordance with its rules of procedure.

The services described in this Purchase Order shall commence on 1 July 2025 and shall continue through 30 June 2026, unless otherwise extended by mutual written agreement. The primary work location shall be the Purchaser's facility at 888 Century Avenue, Pudong New Area, China Shanghai. The Radiologist is expected to be present on-site for a minimum of forty (40) hours per week during standard clinical hours (08:00–17:00, Monday through Saturday), with additional on-call availability as outlined in Line Item 03.

By signing below, both parties acknowledge that this Purchase Order accurately reflects the agreed-upon terms for the engagement of the Radiologist and that all conditions set forth herein are acceptable and binding. This document is executed in two (2) original copies, one retained by each party, and shall be considered effective upon the last signature.
