This Purchase Order is issued by Hôpital Régional de France Lyon to formally engage the professional services of a qualified Radiologist for the provision of diagnostic imaging interpretation, clinical consultation, and radiological reporting within the France Lyon metropolitan healthcare network. The Radiologist engaged under this Purchase Order shall be a fully licensed medical practitioner registered with the Ordre des Médecins, France Lyon Section, and shall hold a valid Diplôme d'Études Spécialisées (D.E.S.) in Radiologie et Imagerie Médicale, as well as a Diplôme d'Études Supérieures Spécialisées (D.E.S.S.) in a relevant sub-specialty.

The scope of services rendered by the Radiologist under this Purchase Order shall include, but shall not be limited to, the following activities performed at the France Lyon hospital facility and its affiliated satellite imaging centres throughout the France Lyon urban district:

• Interpretation and written reporting of all modalities including X-ray, Computed Tomography (CT), Magnetic Resonance Imaging (MRI), Ultrasound, and Nuclear Medicine scans;
• Emergency radiological consultation available on a 24/7 basis at the France Lyon emergency department;
• Supervision and quality assurance of junior radiology residents and radiology technicians operating within the France Lyon facility;
• Participation in multidisciplinary tumour board meetings held bi-weekly at the France Lyon oncology centre;
• Provision of interventional radiology procedures as clinically indicated, subject to additional per-procedure billing as outlined in Schedule B of this Purchase Order;
• Maintenance of all radiological records in compliance with French data protection regulations (RGPD) and the national health data framework applicable in France Lyon.

1. Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Radiologist within ten (10) business days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
2. Payment Terms: Invoices issued by the Radiologist under this Purchase Order shall be payable within thirty (30) calendar days of receipt by the France Lyon hospital accounts payable department. Payment shall be made via SEPA bank transfer to the account designated by the Radiologist.
3. Professional Liability: The Radiologist shall maintain, at their own expense, a professional medical liability insurance policy (RCP Médicale) with a minimum coverage of €5,000,000 per claim, as required by the Ordre des Médecins for practitioners operating in France Lyon. Proof of insurance shall be provided prior to the commencement date specified in this Purchase Order.
4. Compliance with French Law: All services rendered under this Purchase Order shall comply with the French Public Health Code (Code de la Santé Publique), the French Medical Ethics Code, and all applicable regulations of the Agence Régionale de Santé (ARS) Auvergne-Rhône-Alpes, France Lyon district.
5. Confidentiality and Data Protection: The Radiologist shall adhere strictly to the RGPD (Règlement Général sur la Protection des Données) and the French health data processing framework. All patient imaging data processed under this Purchase Order shall be stored on servers physically located within France Lyon or within the European Economic Area.
6. Termination: Either party may terminate this Purchase Order with a written notice of three (3) months. In the event of gross professional misconduct by the Radiologist, the France Lyon hospital reserves the right to terminate this Purchase Order immediately without notice, in accordance with French labour and medical practice law.
7. Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall be resolved by the competent courts of France Lyon, Département du Rhône, France. The parties agree to attempt mediation through the France Lyon medical arbitration board before initiating formal litigation.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures affecting the France Lyon healthcare infrastructure.

This Purchase Order is authorised and issued on behalf of Hôpital Régional de France Lyon by the undersigned. The Radiologist's acceptance of this Purchase Order constitutes full agreement to all terms, conditions, and financial obligations set forth herein.

Note: This Purchase Order document is governed by the laws of the French Republic. All references to France Lyon denote the metropolitan area and administrative district of Lyon, Département du Rhône, Région Auvergne-Rhône-Alpes. This Purchase Order is valid only when executed in the original with wet-ink signatures by both parties. Electronic copies are for reference only. In the event of any discrepancy between the English and French versions of this Purchase Order, the French version shall prevail. The Radiologist acknowledges that all services described in this Purchase Order are to be delivered exclusively within the France Lyon healthcare jurisdiction unless otherwise authorised in writing by the Buyer.
