This Purchase Order is issued by Medizinisches Zentrum Berlin-Charlottenburg GmbH (hereinafter referred to as "the Purchaser") to formally request and authorize the professional services of a qualified Radiologist for the diagnostic imaging department located in Germany Berlin. The Radiologist, Dr. med. Heinrich Falkenstein, is engaged to provide comprehensive radiological diagnostic services, including but not limited to computed tomography (CT) interpretation, magnetic resonance imaging (MRI) reporting, ultrasound examinations, and interventional radiology procedures, in accordance with the professional standards established by the Ärztekammer Berlin and the German Medical Association (Bundesärztekammer).

The scope of this Purchase Order covers the Radiologist's contractual availability for a period of twelve (12) months commencing on 1 August 2025 and concluding on 31 July 2026. During this period, the Radiologist shall be available for a minimum of 32 clinical hours per week at the facility premises in Germany Berlin, with an additional on-call rotation of no more than two (2) shifts per month. All services rendered under this Purchase Order shall comply with the applicable provisions of the German Social Code Book V (SGB V), the Medical Professional Act (Berufsordnung der Ärztekammer Berlin), and the relevant data protection regulations under the GDPR (DSGVO) as implemented in Germany.

  • 3.1 This Purchase Order constitutes a binding agreement between the Purchaser and the Radiologist upon written acceptance. All terms are governed by the laws of the Federal Republic of Germany, with the exclusive jurisdiction of the competent courts in Germany Berlin (Landgericht Berlin).
  • 3.2 The Radiologist shall maintain full professional liability insurance (Berufshaftpflichtversicherung) with a minimum coverage of EUR 5,000,000 per claim throughout the duration of this Purchase Order. A current certificate of insurance shall be provided prior to the commencement of services.
  • 3.3 Payment terms: Net 30 days from the date of invoice submission. Invoices shall be submitted monthly by the 5th business day of the following month. Payment shall be made via bank transfer to the account specified by the Radiologist. Late payments shall incur interest at the statutory rate pursuant to § 288 BGB.
  • 3.4 The Radiologist is engaged as an independent contractor (freiberufliche Tätigkeit) and not as an employee of the Purchaser. The Radiologist shall be responsible for all applicable tax obligations, including income tax and professional contributions to the Ärztekammer Berlin.
  • 3.5 All patient data processed by the Radiologist in connection with this Purchase Order shall be handled in strict compliance with the GDPR (EU) 2016/679 and the German Federal Data Protection Act (Bundesdatenschutzgesetz – BDSG). A Data Processing Agreement (Auftragsverarbeitungsvertrag) shall be executed as an annex to this Purchase Order.
  • 3.6 The Purchaser reserves the right to audit the Radiologist's work product, including a random sample of no fewer than 10% of all reports issued per quarter, to ensure compliance with the diagnostic quality standards set forth by the German Society of Radiology (Deutsche Gesellschaft für Radiologie – DGR).
  • 3.7 Termination: Either party may terminate this Purchase Order with a written notice period of three (3) months. In cases of material breach, termination may be effected immediately upon written notice. Termination shall not affect obligations arising prior to the effective date of termination.
  • 3.8 Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, or government-mandated closures in Germany Berlin, provided that the affected party notifies the other within five (5) business days.
  • 3.9 Dispute Resolution: Any disputes arising from this Purchase Order shall first be subject to good-faith negotiation. Should resolution not be achieved within thirty (30) days, the matter shall be referred to the competent civil court in Germany Berlin.

By signing below, the undersigned parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order. The Radiologist confirms that he/she holds a valid medical license issued by the Ärztekammer Berlin and that all qualifications, certifications, and professional registrations required to practice radiology in Germany Berlin are current and in good standing.
