This Purchase Order is issued by Mumbai Diagnostic & Imaging Centre Pvt. Ltd. to engage the services of the above-named Radiologist for the provision of professional radiological interpretation, reporting, and consultation services at the facility located in India Mumbai. The Radiologist shall render services in accordance with the Indian Medical Council (Professional Conduct, Etiquette and Ethics) Regulations, 2002, and all applicable guidelines issued by the Radiological Society of North America (RSNA) and the Indian Association of Radiologists and Imaging Specialists (IARIS).

• Payment shall be made within 30 (thirty) days from the date of receipt of a valid tax invoice from the Radiologist.
• All payments shall be processed via NEFT/RTGS to the bank account specified in the Supplier section of this Purchase Order.
• The Radiologist shall issue a GST-compliant tax invoice in the name of Mumbai Diagnostic & Imaging Centre Pvt. Ltd., bearing the correct GSTIN, for every billing cycle.
• Any disputed charges must be communicated in writing within 7 (seven) days of invoice receipt. Undisputed amounts shall be paid on schedule regardless of any pending disputes.
• Applicable TDS (Tax Deducted at Source) under Section 194J of the Income Tax Act, 1961, of India shall be deducted at the prevailing rate and deposited with the concerned Income Tax Department, Mumbai.

• All services under this Purchase Order shall be rendered at the facility premises located in India Mumbai, specifically at the Bandra-Kurla Complex address stated above, unless otherwise agreed in writing for off-site or home-visit radiology services.
• The Radiologist shall be available on-site for a minimum of 48 hours per week (Monday to Saturday, 9:00 AM to 6:00 PM) and shall maintain 24/7 on-call availability for emergency interventional procedures.
• The Radiologist shall comply with all radiation safety protocols as mandated by the Atomic Energy Regulatory Board (AERB), Government of India, and the Maharashtra Pollution Control Board.
• Confidentiality of all patient data shall be maintained in strict accordance with the Digital Personal Data Protection Act, 2023, of India, and the facility's internal data governance policies.
• The Radiologist shall maintain valid professional indemnity insurance with a minimum coverage of INR 50,00,000 (Fifty Lakh Rupees) per claim throughout the duration of this Purchase Order.

• This Purchase Order shall be valid for a period of 12 (twelve) months from the date of acceptance, i.e., from 1 July 2025 to 30 June 2026.
• Either party may terminate this Purchase Order with 60 (sixty) days' prior written notice. In the event of termination, all services rendered up to the effective date of termination shall be invoiced and paid in full.
• Immediate termination shall be at the discretion of the Buyer in cases of gross professional negligence, violation of medical ethics, or breach of patient confidentiality by the Radiologist.
