This Purchase Order is issued by MediRadiologie S.r.l. (hereinafter referred to as the "Purchaser") to engage the services of the above-named Radiologist (hereinafter referred to as the "Service Provider") for the provision of comprehensive diagnostic radiology services at the Purchaser's facility located in Milan, Italy. The Radiologist shall perform all imaging examinations, interpret radiological findings, issue certified diagnostic reports, and provide consultative radiological opinions in accordance with the professional standards established by the Italian Ministry of Health (Ministero della Salute) and the regional health authority of Lombardy (ASL Milano).

The services covered under this Purchase Order include, but are not limited to: computed tomography (CT) interpretation, magnetic resonance imaging (MRI) reporting, digital mammography screening, diagnostic ultrasound examinations, interventional radiology procedures, and the preparation of peer-reviewed radiological reports for all patients treated at the facility in Milan, Italy.

4.1 Governing Law and Jurisdiction: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Milan, Italy, in accordance with the Italian Civil Code (Codice Civile) and the provisions of Legislative Decree No. 81/2008 regarding workplace health and safety in the medical sector.

4.2 Professional Liability: The Radiologist shall maintain a valid professional liability insurance policy (RC Professionale) with a minimum coverage of € 2,000,000 per claim, issued by an insurer authorized to operate in Italy. Proof of insurance shall be provided to the Purchaser prior to the commencement of services in Milan.

4.3 Data Protection (GDPR & Italian D.Lgs. 196/2003): The Radiologist shall process all patient health data in strict compliance with the European General Data Protection Regulation (EU) 2016/679 and the Italian Data Protection Code (D.Lgs. 196/2003 as amended by D.Lgs. 101/2018). All radiological images and reports generated in Milan, Italy, shall be stored on servers physically located within the European Union.

4.4 Payment Terms: Invoices shall be submitted monthly by the 5th business day for services rendered in the preceding calendar month. Payment shall be made via bank transfer (bonifico bancario) within 30 days of receipt of a valid invoice, in accordance with Italian commercial practice. Late payments shall accrue interest at the rate established by the European Commission's biannual notice on reference rates.

4.5 Service Location: All services under this Purchase Order shall be performed at the Purchaser's radiology facility located at Via Montenapoleone 42, 20121 Milan, Italy, or at such other location within the Metropolitan City of Milan (Città Metropolitana di Milano) as mutually agreed in writing.

4.6 Termination: Either party may terminate this Purchase Order with a written notice of 90 days. In the event of termination, the Radiologist shall complete all pending examinations and deliver all outstanding radiological reports within 30 days of the termination date.

4.7 Quality Assurance: The Radiologist shall participate in the internal quality assurance program of the facility and in the external quality assessment schemes organized by the Italian Society of Medical Radiology (SIRM) and the regional health authority of Lombardy.

This Purchase Order constitutes a binding commitment upon signature by both parties. By signing below, the Purchaser authorizes the expenditure of funds for the Radiologist services described herein, and the Service Provider confirms acceptance of all terms, conditions, and professional obligations set forth in this document for the provision of radiological services in Milan, Italy.
