This Purchase Order is issued by Almaty Medical Procurement Center LLP to formally engage the services of a qualified Radiologist for the provision of diagnostic imaging interpretation, clinical consultation, and radiological reporting services at our facility located in Kazakhstan Almaty. The Radiologist shall perform all duties in accordance with the standards established by the Ministry of Health of the Republic of Kazakhstan and the International Society of Radiology guidelines.

The Radiologist engaged under this Purchase Order shall fulfill the following obligations at the designated facility in Kazakhstan Almaty:

• Provide timely and accurate interpretation of all radiological images including but not limited to plain radiographs, computed tomography (CT), magnetic resonance imaging (MRI), ultrasound, and fluoroscopic studies.
• Issue written radiological reports within 24 hours for routine studies and within 2 hours for emergency or critical findings, in accordance with the protocols of the Kazakhstan Almaty diagnostic center.
• Participate in multidisciplinary tumor boards and clinical consultations as requested by the attending physicians at the Kazakhstan Almaty facility.
• Maintain full compliance with the radiation safety regulations issued by the State Sanitary-Epidemiological Service of Kazakhstan.
• Ensure that all patient data is handled in strict accordance with the Law of the Republic of Kazakhstan "On Personal Data and Its Protection" (2014, No. 241-V).
• Attend all scheduled staff meetings, quality assurance sessions, and continuing education programs organized by the Kazakhstan Almaty medical center.
• Maintain valid malpractice insurance coverage with a minimum liability of 50,000,000 KZT throughout the duration of this Purchase Order.

• Payment shall be made in Kazakhstani Tenge (KZT) via bank transfer to the account designated by the Radiologist within 30 calendar days from the date of invoice submission.

• Monthly invoices for the base Radiologist salary (Item 01) shall be submitted by the 5th business day of the following month.
• Procedural fees (Item 03) shall be invoiced on a per-procedure basis with supporting documentation attached.
• A late payment penalty of 0.1% per calendar day shall apply to any overdue amounts, in accordance with the Civil Code of the Republic of Kazakhstan.
• All amounts stated in this Purchase Order are exclusive of VAT unless otherwise specified. VAT at the standard rate of 12% shall be applied as per Kazakhstan tax legislation.

• This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Republic of Kazakhstan. Any disputes arising from this Purchase Order shall be resolved through the Almaty City Court of General Jurisdiction, Kazakhstan Almaty.
• Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Radiologist shall be compensated for all services rendered up to the effective date of termination.
• The Radiologist warrants that all qualifications, licenses, and certifications presented in connection with this Purchase Order are valid, current, and in good standing with the relevant regulatory authorities in Kazakhstan.
• Confidentiality: All patient information, clinical data, and proprietary operational information of the Kazakhstan Almaty facility shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent.
• This Purchase Order does not constitute an employment relationship. The Radiologist is engaged as an independent service provider (contractor) under the Civil Code of the Republic of Kazakhstan.
• Any amendments or modifications to this Purchase Order must be made in writing and signed by both parties to be considered valid.
• The Radiologist shall comply with all applicable health and safety regulations, including those enforced by the Kazakhstan Almaty municipal health authority.

By signing below, both parties acknowledge and agree to all terms, conditions, and service specifications outlined in this Purchase Order for the engagement of the Radiologist at the Kazakhstan Almaty diagnostic facility.
