Description of Services – Radiologist EngagementThis Purchase Order is issued by Abuja Medical Diagnostics Centre Ltd. (hereinafter referred to as "the Purchaser") to engage the services of a qualified Radiologist for the provision of diagnostic imaging interpretation, radiological consultation, and related medical services at the Purchaser's facility located in Nigeria Abuja. The Radiologist engaged under this Purchase Order shall be responsible for the accurate interpretation of all radiological examinations including but not limited to X-ray, Computed Tomography (CT), Magnetic Resonance Imaging (MRI), Ultrasound, and Fluoroscopy studies conducted at the facility.

1. Scope of Engagement: The Radiologist named in this Purchase Order shall provide all radiological interpretation services at the Abuja Medical Diagnostics Centre facility in Nigeria Abuja. The Radiologist must hold a valid Medical and Dental Council of Nigeria (MDCN) registration and a subspecialty certification in Diagnostic Radiology. All reports must comply with the Nigerian Health Act and MDCN professional guidelines.
2. Duration: This Purchase Order is valid for a period of three (3) months commencing from 1 July 2025 to 30 September 2025. Renewal of this Purchase Order shall be subject to mutual written agreement and satisfactory performance review.
3. Payment: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Radiologist. Payment shall be made via bank transfer to the account specified by the Radiologist. All payments are subject to applicable Nigerian tax deductions including PAYE and withholding tax as prescribed by the Federal Inland Revenue Service (FIRS).
4. Professional Standards: The Radiologist shall adhere to the highest standards of diagnostic accuracy and shall maintain full professional indemnity insurance with a minimum cover of NGN 50,000,000. Any malpractice or gross negligence shall render the Radiologist liable for damages in accordance with Nigerian law.
5. Confidentiality: The Radiologist shall treat all patient records, imaging data, and clinical information as strictly confidential in accordance with the Nigeria Data Protection Act 2023 and the MDCN Code of Medical Ethics. Unauthorized disclosure shall constitute a breach of this Purchase Order.
6. Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. The Purchaser reserves the right to terminate immediately in the event of professional misconduct, failure to meet reporting deadlines, or loss of MDCN registration.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Abuja, FCT, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
8. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in Nigeria Abuja, or national emergencies declared by the Federal Government of Nigeria.
Approval and AuthorizationThis Purchase Order has been reviewed and authorized by the undersigned officers of Abuja Medical Diagnostics Centre Ltd. The engagement of the Radiologist under this Purchase Order is approved for the provision of diagnostic radiology services at our facility in Nigeria Abuja, effective from the date specified above.
