Scope of Purchase – Radiologist Services & EquipmentThis Purchase Order is issued by Lagos Advanced Medical Centre Ltd. to engage the services of a qualified Radiologist and to procure associated diagnostic imaging equipment for the radiology department located in Nigeria Lagos. The Radiologist shall provide full-time clinical radiology services, including but not limited to diagnostic interpretation, image reporting, and departmental supervision, in accordance with the standards set by the Medical and Dental Council of Nigeria (MDCN) and the Nigerian Society of Radiology.

1. Acceptance: This Purchase Order constitutes a binding agreement between Lagos Advanced Medical Centre Ltd. (hereinafter "the Buyer") and Dr. Funke Adeyemi, Consultant Radiologist (hereinafter "the Vendor"). By signing below, both parties acknowledge and agree to all terms stipulated in this document.
2. Scope of Radiologist Engagement: The Radiologist shall render full-time clinical services at the Buyer's facility in Nigeria Lagos, Monday through Friday, 08:00 to 18:00, with on-call availability for emergency imaging. The Radiologist is responsible for the accurate interpretation and reporting of all diagnostic imaging studies, quality assurance of imaging protocols, and mentoring of junior radiology staff.
3. Equipment Delivery & Installation: All imaging equipment listed in this Purchase Order shall be delivered to the Buyer's premises in Nigeria Lagos within ninety (90) calendar days from the date of this Purchase Order. Installation, commissioning, and staff training shall be completed within fifteen (15) additional days of delivery. The Vendor or the Vendor's authorised agent shall bear all shipping, customs clearance, and installation costs.
4. Payment Terms: Payment shall be made in Naira (NGN) via bank transfer to the Vendor's designated account. A 30% advance payment shall be due upon execution of this Purchase Order. The remaining 70% shall be paid in equal monthly instalments over the contract period. Equipment payments shall be structured as 40% on order confirmation, 40% on delivery, and 20% on successful commissioning and acceptance.
5. Compliance & Regulation: The Radiologist shall maintain a valid MDCN licence and membership with the Nigerian Society of Radiology throughout the engagement. All equipment shall comply with the standards of the Nigerian Standards Organisation (SON) and the Federal Ministry of Health, Nigeria Lagos. The Vendor shall provide all necessary regulatory approvals and certificates of conformity.
6. Warranty & After-Sales Support: All imaging equipment shall carry a minimum two (2) year manufacturer's warranty. The Vendor shall provide a dedicated after-sales support line accessible within Nigeria Lagos during business hours. Response time for critical equipment failures shall not exceed twenty-four (24) hours.
7. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Radiologist shall complete all pending image reports within fourteen (14) days, and the Buyer shall settle all outstanding payments for services rendered and equipment delivered up to the termination date.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from this agreement shall be resolved through arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
9. Confidentiality: Both parties agree to maintain strict confidentiality of all patient data, proprietary imaging protocols, and commercial terms contained in this Purchase Order. The Radiologist shall comply with the National Health Act 2014 and all applicable data protection regulations in Nigeria Lagos.
