- This Purchase Order is issued by Centro Médico Diagnóstico Andino S.A.C., a legal entity registered in Lima, Peru, and governed by the commercial laws of the Republic of Peru. All disputes arising from this Purchase Order shall be resolved under the jurisdiction of the courts of Lima, Peru.
- The Radiologist, Dr. Ricardo Mendoza Huamán, shall provide all diagnostic imaging interpretation services in accordance with the standards established by the Peruvian Society of Radiology (SOPER) and the regulations of the Peruvian Ministry of Health (MINSA). The Radiologist must maintain an active registration with the Peruvian College of Physicians (Colegio Médico del Perú) throughout the entire contract term.
- Payment shall be processed via bank transfer to the account designated by the Radiologist in a Peruvian financial institution. Invoices must be submitted in accordance with the SUNAFIL and SUNAT electronic invoicing requirements applicable in Lima, Peru. Payment is due within thirty (30) calendar days from the date of invoice receipt.
- The Radiologist is obligated to maintain strict confidentiality of all patient medical records in compliance with Peruvian Law No. 29798 (Personal Data Protection Law) and the ethical codes of the Peruvian medical profession. All patient data processed at the Lima facility shall be stored on encrypted servers located within the national territory of Peru.
- This Purchase Order may be terminated by either party with a written notice of thirty (30) days. In the event of early termination, the Radiologist shall be compensated for services rendered up to the termination date, and the issuing entity shall be released from future payment obligations.
- The Radiologist shall comply with all occupational health and safety regulations established by the Peruvian Ministry of Labor and Employment Promotion (MINTRA), including radiation exposure monitoring and protective equipment usage at the Lima, Peru diagnostic imaging facility.
- All deliverables, including radiology reports, diagnostic findings, and imaging interpretations, shall be submitted in both Spanish and English to accommodate the bilingual patient population served by the facility in Lima, Peru.
- This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Radiologist professional services and supersedes all prior negotiations, representations, or agreements. Any amendments must be made in writing and signed by both parties.
