This Purchase Order is issued by Al-Nur Medical Center, Riyadh, to formally engage the services of a qualified Radiologist for the provision of diagnostic and interventional radiology services within the Kingdom of Saudi Arabia. - Compliance with Saudi Regulations: The Radiologist shall maintain a valid medical practice license issued by the Saudi Commission for Health Specialties (SCFHS) and shall comply with all regulations set forth by the Ministry of Health, Kingdom of Saudi Arabia, and the Saudi Food and Drug Authority (SFDA) as applicable to radiological practice in Riyadh.
- Service Location: All services under this Purchase Order shall be rendered at Al-Nur Medical Center, King Fahd Road, Riyadh, Saudi Arabia, or at such other approved satellite imaging centers within the Riyadh metropolitan area as mutually agreed upon in writing.
- Payment Terms: Payment shall be made on a monthly basis within thirty (30) calendar days from the date of invoice submission. All payments shall be processed in Saudi Riyals (SAR) via bank transfer to the account designated by the Radiologist. The Purchase Order amount is inclusive of all professional fees and exclusive of applicable Value Added Tax (VAT) at the current rate of 15% as mandated by the Zakat, Tax and Customs Authority (ZATCA) of Saudi Arabia.
- Confidentiality and Data Protection: The Radiologist shall adhere strictly to the Saudi Personal Data Protection Law (PDPL) and all institutional policies regarding patient confidentiality. All imaging data and diagnostic reports generated under this Purchase Order shall be stored in compliance with the Saudi Health Information Exchange (HIE) standards.
- Performance Standards: The Radiologist shall ensure that all diagnostic reports are delivered within the turnaround times specified by the facility's clinical protocols. A minimum accuracy rate of 98% in image interpretation shall be maintained, subject to quarterly peer review audits conducted by the Medical Services Division in Riyadh.
- Termination: Either party may terminate this Purchase Order with a written notice of ninety (90) days. In the event of termination, all outstanding invoices for services rendered up to the effective date of termination shall be settled in full within thirty (30) days.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Riyadh, Saudi Arabia, or through arbitration in accordance with the Saudi Center for Commercial Arbitration (SCCA) rules.
- Insurance and Liability: The Radiologist shall maintain adequate professional indemnity insurance coverage of no less than SAR 2,000,000 per claim, valid throughout the duration of this Purchase Order, with the insurer licensed to operate in Saudi Arabia.
By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the engagement of the Radiologist's professional services as described herein. This document supersedes all prior negotiations, representations, or agreements relating to the subject matter of this Purchase Order in Riyadh, Saudi Arabia.
