This Purchase Order is issued by MediScan Diagnostics (Pty) Ltd, a registered diagnostic imaging facility operating in South Africa Cape Town, to formally engage the services of a qualified Radiologist for the provision of diagnostic imaging interpretation, reporting, and clinical consultation services. This Purchase Order constitutes a binding agreement between the parties for the period specified herein and is governed by the laws of the Republic of South Africa, with particular reference to the National Health Act (Act 61 of 2003) and the South African Health Professions Council (SAHPRA) regulations applicable to the practice of radiology in South Africa Cape Town.

The Radiologist engaged under this Purchase Order shall be fully registered with SAHPRA, hold a valid medical practitioner's certificate, and possess a subspecialty qualification in Diagnostic Radiology. All services rendered in South Africa Cape Town shall comply with the South African National Radiology Society (SANRS) standards of practice and the relevant radiation safety regulations enforced by the Department of Health in the Western Cape province.

Terms and Conditions

1. Scope of Engagement: The Radiologist shall provide all diagnostic imaging interpretation and reporting services as outlined in this Purchase Order at the MediScan Diagnostics facility located in South Africa Cape Town. The Radiologist is expected to maintain a turnaround time of no more than four (4) hours for routine reports and one (1) hour for urgent/emergency reports.
2. Contract Period: This Purchase Order is valid for a period of twelve (12) months commencing 1 July 2025 and expiring on 30 June 2026, unless terminated earlier in accordance with Clause 9.
3. Payment Terms: Invoices shall be submitted on the last working day of each calendar month. Payment shall be made within thirty (30) days of receipt of a valid tax invoice via electronic funds transfer (EFT) to the bank account nominated by the Radiologist. Late payments shall accrue interest at the rate of 10% per annum as per the National Credit Act (Act 34 of 2005).
4. Professional Registration: The Radiologist must maintain an active SAHPRA registration throughout the duration of this Purchase Order. Failure to maintain registration shall constitute grounds for immediate termination without notice.
5. Confidentiality & POPIA: All patient data handled by the Radiologist in South Africa Cape Town shall be treated in strict accordance with the Protection of Personal Information Act (POPIA, Act 4 of 2013). No patient information shall be disclosed to any third party without written consent.
6. Insurance: The Radiologist shall maintain a minimum medical malpractice insurance cover of R 5,000,000.00 per claim and R 10,000,000.00 in the aggregate, with MediScan Diagnostics named as an additional insured party.
7. Performance Standards: The Radiologist shall adhere to the SANRS reporting standards and the South African National Department of Health guidelines for diagnostic imaging in South Africa Cape Town. A minimum reporting accuracy rate of 98.5% shall be maintained, as verified by quarterly peer review audits.
8. Equipment & Access: MediScan Diagnostics shall provide the Radiologist with full access to the Picture Archiving and Communication System (PACS), radiology information system (RIS), and all imaging modalities at the South Africa Cape Town facility during contracted hours.
9. Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, termination may be effected with seven (7) days' notice. Termination shall not affect any accrued obligations or liabilities.
10. Dispute Resolution: Any dispute arising from this Purchase Order shall first be referred to mediation in South Africa Cape Town. Should mediation fail, the matter shall be referred to arbitration under the rules of the Arbitration Foundation of South Africa (AFSA), with the seat of arbitration in Cape Town.
11. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. The courts of Cape Town, Western Cape, shall have exclusive jurisdiction.

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Radiologist in South Africa Cape Town. This document, once countersigned, constitutes a legally binding agreement.
