The scope of this Purchase Order encompasses the full range of radiological services including but not limited to: computed tomography (CT) interpretation, magnetic resonance imaging (MRI) reporting, digital radiography (DR) interpretation, ultrasound (sonography) reporting, mammography interpretation, and interventional radiology procedural support. All services rendered under this Purchase Order shall be performed in accordance with the standards set by the South African Radiological Society (SARS) and the HPCSA professional guidelines applicable in South Africa Johannesburg and the broader Gauteng province.

1. Professional Registration: The Radiologist engaged under this Purchase Order must maintain an active, unrestricted professional registration with the Health Professions Council of South Africa (HPCSA) for the entire duration of the contract. The Seller shall provide a current HPCSA registration certificate upon request and shall notify the Buyer within forty-eight (48) hours of any change in registration status.
2. Service Location: All services described in this Purchase Order shall be rendered at the MedScan Diagnostics facility, 142 Rivonia Road, Sandton, Johannesburg, South Africa, or at such other location within the Johannesburg metropolitan area as may be mutually agreed in writing by both parties.
3. Payment Terms: Payment shall be made on a monthly basis within thirty (30) days of receipt of a valid tax invoice from the Seller. All payments shall be made via electronic funds transfer (EFT) to the bank account designated in writing by the Seller. Late payments shall attract interest at the rate of 10% per annum as prescribed by the National Credit Act of South Africa.
4. Confidentiality and Patient Data: The Radiologist shall comply fully with the Protection of Personal Information Act (POPIA), 2013, and all applicable South African data protection legislation. All patient imaging data and clinical records accessed in the course of performing services under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without the written consent of the patient or as required by law.
5. Professional Indemnity Insurance: The Seller shall maintain a minimum professional indemnity insurance cover of R 5,000,000.00 (Five Million Rand) for the duration of this Purchase Order. A certificate of insurance shall be provided to the Buyer prior to the commencement of services and upon each annual renewal.
6. Performance Standards: The Radiologist shall ensure that all radiological reports are completed within the turnaround times specified by the South African Radiological Society (SARS) guidelines. Urgent and emergency reports shall be issued within two (2) hours of image acquisition, and routine reports within twenty-four (24) hours.
7. Termination: Either party may terminate this Purchase Order by providing ninety (90) days written notice to the other party. The Buyer may terminate this Purchase Order immediately in the event of material breach, loss of HPCSA registration, or professional misconduct by the Radiologist.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Johannesburg, South Africa.
9. Subcontracting: The Seller shall not subcontract or delegate any portion of the radiological interpretation services described in this Purchase Order to any other Radiologist or third party without the prior written consent of the Buyer.
10. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by circumstances beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns, or pandemics affecting operations in South Africa Johannesburg.
