This Purchase Order is issued by Al-Nil Medical Diagnostic Center, a licensed diagnostic imaging facility operating in Sudan Khartoum, to formally engage the professional services of a qualified Radiologist for a defined contractual period. The Radiologist engaged under this Purchase Order shall provide comprehensive diagnostic imaging interpretation services, including but not limited to the reading and reporting of X-ray, computed tomography (CT), magnetic resonance imaging (MRI), and ultrasound examinations performed at the facility's premises in Khartoum, Sudan.

The Radiologist shall be responsible for the following scope of duties under this Purchase Order:

  • Interpretation and written reporting of all radiological imaging studies conducted at the facility, with a minimum turnaround time of four (4) hours for routine studies and two (2) hours for urgent or emergency cases.
  • Supervision and quality assurance of imaging protocols to ensure diagnostic accuracy and patient safety in accordance with the standards set by the Sudanese Ministry of Health and the Sudanese Medical Specializations Board.
  • Participation in multidisciplinary tumor board meetings and clinical consultations as requested by the treating physicians at Al-Nil Medical Diagnostic Center in Sudan Khartoum.
  • Maintenance of accurate and confidential patient imaging records in compliance with Sudanese data protection regulations and the facility's internal policies.
  • Provision of at least two (2) continuing medical education presentations per quarter to the facility's radiology and clinical staff.
  • Availability for on-call emergency radiology coverage on a rotating schedule, with a response time not exceeding thirty (30) minutes within the Khartoum metropolitan area.

The services described in this Purchase Order shall commence on 1 July 2025 and shall continue for a period of twelve (12) months, concluding on 30 June 2026, unless terminated earlier in accordance with the terms set forth in Section 6 of this Purchase Order. The Radiologist shall be expected to work a minimum of five (5) days per week, Monday through Friday, from 08:00 to 17:00 local time in Sudan Khartoum, with additional on-call availability as specified above.

Payment shall be made on a monthly basis via bank transfer to the Radiologist's designated account at a licensed commercial bank in Khartoum, Sudan. Invoices shall be submitted by the fifth (5th) business day of each month for the preceding month's services. Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. All amounts stated in this Purchase Order are denominated in Sudanese Pounds (SDG) and are subject to applicable Sudanese tax regulations as administered by the National Revenue Authority in Khartoum.

Al-Nil Medical Diagnostic Center, as the purchasing entity issuing this Purchase Order, shall provide the Radiologist with full access to all imaging equipment, patient records, and clinical information necessary to perform the contracted services. The facility shall maintain all diagnostic imaging hardware in operational condition and shall ensure that the Radiologist's workspace in Sudan Khartoum is equipped with appropriate workstations, secure network access, and ergonomic facilities. The Buyer shall also cover the cost of professional indemnity insurance for the Radiologist for the duration of this Purchase Order, with a minimum coverage of 5,000,000 SDG per claim.

Either party may terminate this Purchase Order by providing sixty (60) days' written notice to the other party. In the event of material breach by the Radiologist, including but not limited to repeated failure to meet reporting turnaround times, loss of professional licensure with the Sudanese Medical Specializations Board, or conduct unbecoming of a medical professional, the Buyer may terminate this Purchase Order with immediate effect upon written notice. Upon termination, the Buyer shall settle all outstanding invoices for services rendered up to the date of termination. No penalty or liquidated damages shall be imposed on either party for termination in accordance with this clause.

This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Sudan, including the Sudanese Civil Code and all applicable regulations of the Sudanese Ministry of Health. Any dispute arising out of or in connection with this Purchase Order shall first be subject to good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days, it shall be referred to the competent courts of Khartoum, Sudan, which shall have exclusive jurisdiction over all matters arising from this Purchase Order.

This Purchase Order constitutes the entire agreement between the parties with respect to the engagement of the Radiologist for the services described herein and supersedes all prior negotiations, representations, or agreements. No amendment or modification of this Purchase Order shall be valid unless made in writing and signed by both parties. The Radiologist shall maintain all professional confidentiality obligations with respect to patient information in strict compliance with Sudanese medical ethics codes and the facility's data protection policy. This Purchase Order may not be assigned or subcontracted by the Radiologist without the prior written consent of the Buyer.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. The Radiologist confirms that they hold a valid, unrestricted license to practice radiology in Sudan Khartoum, issued by the Sudanese Medical Specializations Board, and that they are not subject to any disciplinary proceedings or restrictions that would impair their ability to perform the services described in this Purchase Order.
