This Purchase Order is issued by Meridian Diagnostic Imaging Centre Ltd. (hereinafter referred to as the “Purchaser”) to engage the services of Dr. James A. Hartley, Consultant Radiologist (hereinafter referred to as the “Radiologist”), for the provision of specialist radiological diagnostic and reporting services at the Purchaser’s facility located in Birmingham, United Kingdom. The Radiologist shall perform all duties in accordance with the standards set by the Royal College of Radiologists (RCR) and the Healthcare Quality Improvement Partnership (HQIP) guidelines applicable within the United Kingdom.

  1. Governing Law: This Purchase Order and all associated services shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Birmingham, United Kingdom.
  2. Professional Standards: The Radiologist warrants that all diagnostic reports, interpretations, and clinical opinions shall be produced in strict compliance with the Royal College of Radiologists (RCR) professional standards, the General Medical Council (GMC) Good Medical Practice guidelines, and all applicable United Kingdom healthcare regulations.
  3. Confidentiality & Data Protection: The Radiologist shall handle all patient imaging data and clinical records in full compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. No patient-identifiable information originating from the Birmingham facility shall be disclosed to any third party without explicit written consent.
  4. Professional Indemnity Insurance: The Radiologist shall maintain valid professional indemnity insurance with a minimum cover of £5,000,000 per claim throughout the duration of this Purchase Order. Evidence of current coverage shall be provided to the Purchaser upon request.
  5. Payment Schedule: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice, via BACS bank transfer to the account designated by the Radiologist. Late payments shall accrue interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
  6. Termination: Either party may terminate this Purchase Order by providing sixty (60) days’ written notice. In the event of material breach, termination may be effected with fourteen (14) days’ notice. Upon termination, the Radiologist shall complete all outstanding reports and hand over all patient records to the Purchaser’s Birmingham facility within seven (7) working days.
  7. Health & Safety: The Radiologist shall comply with all health and safety protocols at the Birmingham premises, including ionising radiation safety procedures as set out in the Ionising Radiation (Medical Examinations) Regulations 2017 (IR(ME)R) and the Ionising Radiation Regulations 2017 (IRR 2017).
  8. Warranty of Services: The Radiologist warrants that all services rendered under this Purchase Order shall be performed with the skill, care, and diligence expected of a competent Consultant Radiologist practising in Birmingham, United Kingdom, and in accordance with the terms of this document.
  9. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from circumstances beyond reasonable control, including but not limited to acts of God, pandemic, government directive, or industrial action affecting the Birmingham, United Kingdom region.
  10. Entire Agreement: This Purchase Order, together with any attached schedules and the Radiologist’s engagement letter, constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior negotiations, representations, or agreements relating to the provision of Radiologist services at the Birmingham facility.

The Radiologist shall commence services on 1 July 2025 at the Meridian Diagnostic Imaging Centre, 42 Colmore Row, Birmingham, B3 2BB, United Kingdom. The initial on-site induction, including access to the Picture Archiving and Communication System (PACS), electronic reporting software, and facility orientation, shall be completed within the first five (5) working days of commencement.

This Purchase Order is authorised and executed by the undersigned representatives of both parties, confirming mutual agreement to the terms, scope, and financial obligations set forth herein for the provision of Radiologist services in Birmingham, United Kingdom.
