This Purchase Order is issued by Clínica Diagnóstica del Este, C.A., located in Venezuela Caracas, to formally engage the services of a qualified Radiologist for the provision of comprehensive diagnostic imaging interpretation, interventional radiology procedures, and ongoing radiological consultation within the facility's imaging department. The Radiologist shall be responsible for the interpretation of all modalities including but not limited to computed tomography (CT), magnetic resonance imaging (MRI), digital radiography, ultrasound, fluoroscopy, and nuclear medicine scans performed at the Venezuela Caracas facility.
The Radiologist is expected to maintain a minimum on-site presence of five (5) days per week, with an additional on-call availability of twenty-four (24) hours per day to address urgent radiological emergencies. All diagnostic reports must be issued within four (4) hours of image acquisition for routine cases and within one (1) hour for emergency and critical findings, in accordance with the standards established by the Ministry of Popular Power for Health of Venezuela and the Venezuelan Society of Radiology.

6.1 This Purchase Order is governed by the laws of the Bolivarian Republic of Venezuela, specifically the Civil Code of Venezuela and the applicable regulations of the Ministry of Popular Power for Health regarding the practice of radiology and medical imaging in Venezuela Caracas.
6.2 The Radiologist shall maintain valid professional malpractice insurance with a minimum coverage of USD 1,000,000 per occurrence, issued by an insurance company licensed to operate in Venezuela.
6.3 All radiological reports generated under this Purchase Order shall be issued in both Spanish and English to accommodate the bilingual patient population served by the Venezuela Caracas facility.
6.4 The Radiologist agrees to comply with all radiation safety protocols established by the Venezuelan Nuclear Regulatory Agency (Organismo Regulador Nuclear de Venezuela) and to maintain annual dosimetry records.
6.5 Payment shall be processed in US Dollars through the authorized foreign exchange mechanism of the Banco Central de Venezuela. In the event of currency restrictions, equivalent payment in Bolívares Fuertes (VEF) shall be made at the official exchange rate published on the date of payment.
6.6 This Purchase Order may be terminated by either party with thirty (30) days written notice. In the event of termination, the Radiologist shall complete all pending diagnostic reports within fifteen (15) days of the termination date.
6.7 Any disputes arising from this Purchase Order shall be resolved through arbitration in Venezuela Caracas, in accordance with the Venezuelan Arbitration Law.
IMPORTANT NOTE: This Purchase Order for Radiologist services is valid exclusively for operations conducted within the municipality of Venezuela Caracas and its immediate metropolitan area. Any extension of services to other Venezuelan states requires a formal amendment to this document and additional regulatory approval from the respective state health authority.By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of Radiologist professional services in Venezuela Caracas.
