Terms and Conditions of this Purchase Order
- This Purchase Order is issued by Harare Medical Imaging & Diagnostic Centre (Pvt) Ltd, a registered entity in Zimbabwe Harare, and constitutes a binding agreement for the procurement of professional Radiologist services and associated medical equipment as detailed above.
- The Radiologist named in this document, Dr. Tendai Moyo, shall provide all diagnostic imaging services in strict compliance with the standards set by the Zimbabwe Medical and Dental Council (ZMDC) and the Zimbabwe National Radiology Society.
- All services rendered under this Purchase Order shall be performed at the Harare Medical Imaging & Diagnostic Centre facility located at 12 Samora Machel Avenue, Zimbabwe Harare, or at such other approved location within the Harare metropolitan area as mutually agreed in writing.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Radiologist or their designated practice, via electronic funds transfer to a bank account domiciled in Zimbabwe Harare. All payments are subject to applicable Zimbabwean tax withholdings as prescribed by the Zimbabwe Revenue Authority (ZIMRA).
- The Radiologist shall maintain valid professional indemnity insurance with a minimum cover of USD 500,000 per claim throughout the duration of this Purchase Order, and shall provide a certificate of insurance upon request.
- Any changes, amendments, or variations to the scope of services outlined in this Purchase Order must be documented in a written addendum signed by both parties. No verbal modifications shall be binding.
- The Radiologist shall comply with all radiation safety regulations as enforced by the Zimbabwe Nuclear Regulatory Authority (ZNRA) and shall ensure that all imaging equipment used in Zimbabwe Harare is properly calibrated and certified.
- This Purchase Order is governed by the laws of the Republic of Zimbabwe. Any disputes arising from this agreement shall be resolved through arbitration in Zimbabwe Harare in accordance with the Arbitration Act [Chapter 7:15] of the Laws of Zimbabwe.
- The Radiologist shall maintain strict patient confidentiality in accordance with the Zimbabwe Data Protection Act [Chapter 10:27] and shall not disclose any patient imaging data or clinical reports to third parties without written consent.
- This Purchase Order shall remain valid for a period of twelve (12) months from the date of issue, after which it may be renewed by mutual written agreement between the parties.
