This Purchase Order is issued by Andes Industrial Automation S.A. to formally authorize and request the procurement of specialized professional services rendered by a qualified Robotics Engineer to be deployed at our primary manufacturing and R&D facility located in Argentina Córdoba. The engagement described herein is governed by the terms, conditions, and specifications outlined in this document and the associated Service Level Agreement (SLA) referenced in Section 7. The Robotics Engineer will be responsible for the design, integration, programming, and maintenance of industrial robotic systems supporting our automated production lines in the Córdoba industrial corridor.

The contracted Robotics Engineer shall provide full-time professional services for a period of twelve (12) months, commencing on July 1, 2025, and concluding on June 30, 2026, unless extended by mutual written agreement. The scope of work includes, but is not limited to:

• Design and development of robotic automation solutions for assembly, welding, and packaging stations at the Argentina Córdoba plant.
• Programming, calibration, and commissioning of KUKA, FANUC, and ABB robotic arms currently installed on the production floor.
• Integration of robotic systems with existing PLC (Programmable Logic Controller) networks and SCADA monitoring infrastructure.
• Conducting preventive and corrective maintenance on all robotic equipment to ensure 99.2% uptime.
• Preparing technical documentation, as-built drawings, and operational manuals in both English and Spanish.
• Training internal maintenance staff (minimum 40 hours per quarter) on robotic system operation and troubleshooting.
• Participating in weekly engineering review meetings held at the Córdoba headquarters.

All services under this Purchase Order shall be performed exclusively at the Andes Industrial Automation S.A. facility located at Av. Velez Sarsfield 1250, Córdoba, X5000, Argentina Córdoba. The Robotics Engineer is expected to be physically present on-site during standard business hours (Monday through Friday, 08:00 to 17:00, Argentina time, UTC-3). Remote work is not authorized under this engagement. The vendor shall ensure the Robotics Engineer holds a valid Argentine work permit and all necessary professional registrations with the Colegio de Ingenieros de Córdoba.

• Payment shall be made in monthly installments of ARS 831,875.00 (inclusive of IVA), due within fifteen (15) business days of receipt of a valid invoice.
• Payment method: Bank transfer (Cuenta Corriente) to the vendor's account at Banco de la Nación Argentina, Sucursal Córdoba.
• A 5% retention shall be withheld from each monthly payment and released upon successful completion of the full contract term.
• Late payments shall accrue interest at the rate established by the Banco Central de la República Argentina (BCRA) for overdue commercial obligations.

The Robotics Engineer's deliverables shall be subject to a formal acceptance process. Each completed work package (e.g., a newly commissioned robotic cell, a completed maintenance cycle, or a training session) must be reviewed and signed off by the Buyer's Plant Engineering Manager. Acceptance criteria are defined in the attached Technical Specification Annex A. Any deliverable that fails to meet the agreed-upon performance metrics shall be reworked at the vendor's sole cost within ten (10) business days.

• This Purchase Order is subject to the general terms and conditions of Andes Industrial Automation S.A. as published on the company's procurement portal.
• The vendor warrants that the Robotics Engineer possesses a minimum of eight (8) years of professional experience in industrial robotics and holds a degree in Mechatronics, Mechanical Engineering, or a related field from a recognized Argentine or international university.
• Confidentiality: The Robotics Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. All proprietary data, process designs, and operational parameters of the Argentina Córdoba facility are classified as confidential.
• Insurance: The vendor shall maintain professional liability insurance with a minimum coverage of ARS 50,000,000.00 for the duration of the contract.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, termination may be immediate upon written notice.
• Governing Law: This Purchase Order shall be governed by the laws of the Argentine Republic, with jurisdiction vested in the commercial courts of Córdoba, Argentina.
