This document constitutes a binding procurement instrument and governs all commercial, operational, and legal terms associated with the engagement described herein. The Purchase Order is subject to the Brazilian Civil Code, applicable labor regulations of the State of São Paulo, and the specific terms outlined in the sections below.

The Supplier shall identify, vet, and place a senior Robotics Engineer with a minimum of eight (8) years of professional experience in the design, development, integration, and maintenance of industrial robotic systems. The Robotics Engineer shall be responsible for leading the automation division at the Buyer's manufacturing facility located in the industrial district of Brazil São Paulo, specifically at the plant situated in the municipality of São Bernardo do Campo, within the metropolitan region of São Paulo.

The Robotics Engineer shall oversee the programming of collaborative robots (cobots), the integration of robotic arms into existing production lines, the development of custom end-effectors, the implementation of computer vision systems for quality inspection, and the training of local technical staff. All work shall be performed on-site in Brazil São Paulo during standard business hours, with occasional overtime as required by production schedules.

The total value of this Purchase Order for the professional services rendered by the Supplier in connection with the Robotics Engineer engagement is as follows:

Payment shall be made via bank transfer (TED/PIX) to the Supplier's designated account within fifteen (15) business days of invoice receipt. All amounts are denominated in Brazilian Reais (BRL) and are subject to applicable taxes including ISS (Imposto Sobre Serviços) levied by the municipality of São Paulo, as well as any withholding taxes required under Brazilian federal legislation. This Purchase Order does not include additional costs unless expressly authorized in writing by the Buyer's procurement department.

All services under this Purchase Order shall be delivered and performed exclusively in Brazil São Paulo. The primary work location shall be the Buyer's facility at Rodovia Anhanguera, Km 28 – São Bernardo do Campo, SP, CEP 09800-000. The Robotics Engineer shall be physically present at this location for a minimum of five (5) days per week. Any remote work arrangements must be pre-approved in writing by the Buyer's operations manager. The Supplier acknowledges that all operational activities, including but not limited to system testing, robot calibration, and team training, shall take place within the geographic boundaries of the city of São Paulo and its immediate metropolitan region in the state of São Paulo, Brazil.

5.1. This Purchase Order becomes effective upon signature by both parties and remains valid for a period of twelve (12) months from the date of issue, unless terminated earlier in accordance with Section 5.6.

5.2. The Supplier guarantees that the Robotics Engineer placed under this Purchase Order holds a valid engineering registration (CREA) and possesses all qualifications necessary to perform robotic system design and integration work in compliance with Brazilian technical standards (ABNT NBR) and occupational safety regulations (NR-12).

5.3. The Supplier shall maintain full professional liability insurance and workers' compensation coverage for the Robotics Engineer throughout the duration of the engagement in Brazil São Paulo.

5.4. Any modifications to the scope, timeline, or financial terms of this Purchase Order must be documented in a formal amendment signed by authorized representatives of both parties.

5.5. The Supplier shall submit monthly progress reports detailing the Robotics Engineer's activities, milestones achieved, and any technical challenges encountered at the Brazil São Paulo facility.

5.6. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall be liable for all services rendered up to the effective date of termination, and the Supplier shall ensure an orderly transition of the Robotics Engineer's responsibilities.

5.7. All intellectual property developed by the Robotics Engineer during the course of this engagement shall be the exclusive property of the Buyer, as stipulated in the separate Non-Disclosure and IP Assignment Agreement referenced by this Purchase Order.

5.8. Disputes arising from this Purchase Order shall be resolved by arbitration in accordance with the rules of the São Paulo Arbitration Court (CAMARB), with the seat of arbitration in the city of São Paulo, Brazil.
