This Purchase Order is issued by Mediterranean Advanced Robotics Solutions S.A.R.L. (hereinafter referred to as the "Purchaser") to formally procure the professional services of a qualified Robotics Engineer to be deployed at our primary operational facility located in France Marseille. The engagement is intended to support the design, prototyping, integration, and commissioning of autonomous robotic systems for the maritime logistics and port automation sector, a domain in which the port of Marseille-Fos holds a strategic position within the European supply chain.

The Robotics Engineer engaged under this Purchase Order shall possess a minimum of seven (7) years of progressive experience in mechatronic systems, industrial robotics, and autonomous mobile robotics. The candidate must hold a Master's degree or equivalent in Robotics, Mechanical Engineering, Electrical Engineering, or a closely related discipline. Proficiency in ROS 2, C++, Python, MATLAB/Simulink, and PLC programming (Siemens S7, Allen-Bradley) is mandatory.

Given the operational context in France Marseille, the Robotics Engineer shall demonstrate familiarity with maritime industrial environments, ATEX zone safety protocols, and the specific spatial and environmental constraints of the Port of Marseille-Fos terminal infrastructure. The engineer will report directly to the Head of Engineering and will coordinate with the on-site operations team, the port authority (Grand Port Maritime de Marseille), and external regulatory bodies as required.

3.1 – Place of Performance: All services procured under this Purchase Order shall be rendered at the Purchaser's facility in France Marseille, specifically at the Industrial Zone du Littoral, 13008 Marseille. The Robotics Engineer is expected to be on-site for the duration of the engagement unless remote work is explicitly authorized in writing by the Purchaser.

3.2 – Payment Terms: Invoices shall be submitted monthly in arrears. Payment shall be made within thirty (30) calendar days of receipt of a valid invoice via bank transfer to the account designated by the Supplier. Late payments shall accrue interest at the rate of 1.5% per month in accordance with French commercial law (Code de commerce, Article L441-10).

3.3 – Intellectual Property: All designs, algorithms, code, documentation, and inventions created by the Robotics Engineer in the course of performing services under this Purchase Order shall be the exclusive property of the Purchaser. The Robotics Engineer shall execute any additional IP assignment documents reasonably requested.

3.4 – Confidentiality: The Robotics Engineer shall be bound by a Non-Disclosure Agreement (NDA) covering all proprietary information, trade secrets, and operational data of the Purchaser and its clients in France Marseille. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.

3.5 – Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate with fourteen (14) days' notice. Upon termination, the Supplier shall be compensated for all services rendered up to the effective date of termination.

3.6 – Applicable Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any dispute arising from or in connection with this Purchase Order shall be submitted to the exclusive jurisdiction of the Commercial Court of Marseille (Tribunal de Commerce de Marseille).

3.7 – Health, Safety, and Compliance: The Robotics Engineer shall comply with all French occupational health and safety regulations (Code du travail), site-specific safety protocols at the France Marseille facility, and all applicable EU directives regarding the safe operation of industrial robots.

NOTE: This Purchase Order is subject to the Supplier's confirmation of the Robotics Engineer's availability and successful completion of the Purchaser's onboarding and site-access clearance procedures in France Marseille. The commencement date of 14 June 2025 is contingent upon the Robotics Engineer obtaining the necessary site access badge and completing mandatory safety induction training at the Marseille facility.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Robotics Engineer in France Marseille.
