This Purchase Order is issued by the Al-Rafidain Industrial Development Authority (hereinafter referred to as the "Buyer") to Global Robotics & Automation Solutions Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Robotics Engineer to provide specialized technical services in support of the Buyer's automated manufacturing and logistics infrastructure projects located in Iraq Baghdad.
The Robotics Engineer shall be responsible for the design, integration, commissioning, and ongoing maintenance of industrial robotic systems, programmable logic controllers (PLCs), and automated guided vehicles (AGVs) deployed across the Buyer's three (3) production facilities in the Sadr City, Adhamiyah, and Al-Karrada industrial zones of Iraq Baghdad. The scope of work includes but is not limited to: system architecture planning, sensor calibration, end-effector programming, safety interlock verification, predictive maintenance scheduling, and the preparation of comprehensive technical documentation in both English and Arabic.
The Supplier warrants that the Robotics Engineer assigned to this Purchase Order shall hold a minimum of a Master's degree in Robotics, Mechatronics, or a closely related engineering discipline, possess no fewer than ten (10) years of progressive experience in industrial automation, and demonstrate proven expertise in deploying robotic systems in environments subject to the climatic and infrastructural conditions characteristic of Iraq Baghdad, including high ambient temperatures, dust exposure, and intermittent power supply.

Payment shall be made in United States Dollars (USD) via irrevocable letter of credit issued through a recognized international bank, payable in three (3) equal quarterly installments. The first installment shall be due within thirty (30) days of the execution of this Purchase Order. All payments are subject to the Buyer's verification that the Robotics Engineer has fulfilled the deliverables outlined in the corresponding quarterly performance report. Applicable Iraqi federal and Baghdad municipal taxes, customs duties, and any withholding taxes levied by the Republic of Iraq shall be borne by the Supplier unless otherwise stipulated by Iraqi law.
4. Commencement, Duration & Location of WorkThe Robotics Engineer shall commence on-site duties in Iraq Baghdad no later than 1 August 2025. The contractual duration of this Purchase Order shall be twelve (12) months from the date of commencement, with the option for the Buyer to extend the engagement for an additional six (6) months upon mutual written agreement. All primary work shall be conducted at the Buyer's designated facilities in Iraq Baghdad, with the Robotics Engineer required to maintain a minimum on-site presence of five (5) working days per week. The Supplier shall be responsible for securing all necessary work permits, residency visas, and professional registration with the Iraqi Ministry of Higher Education and Scientific Research prior to the Robotics Engineer's arrival in Iraq Baghdad.
5. Terms, Conditions & Compliance5.1. This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Iraq, with particular reference to the Iraqi Civil Code, the Iraqi Commercial Code, and all applicable regulations of the Baghdad Governorate concerning foreign professional engagement.
5.2. The Supplier shall ensure that the Robotics Engineer complies with all Iraqi labor laws, occupational health and safety regulations, and the specific site safety protocols established by the Buyer for operations in Iraq Baghdad.
5.3. All intellectual property, technical drawings, source code, and proprietary documentation developed by the Robotics Engineer in the course of fulfilling this Purchase Order shall vest exclusively in the Buyer upon full payment.
5.4. The Supplier shall maintain comprehensive professional liability and workers' compensation insurance covering the Robotics Engineer for the full duration of the engagement in Iraq Baghdad, with a minimum coverage of USD 2,000,000 per occurrence.
5.5. Any dispute arising from or in connection with this Purchase Order shall be resolved through binding arbitration administered in accordance with the rules of the Iraqi Centre for Arbitration, with the seat of arbitration in Baghdad, Iraq.
5.6. The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, sustained underperformance by the Robotics Engineer, or force majeure conditions that render continued operations in Iraq Baghdad impracticable.
6. Acceptance & AuthorizationBy signing below, both parties acknowledge that they have read, understood, and agree to be bound by all terms and conditions set forth in this Purchase Order for the engagement of the Robotics Engineer in Iraq Baghdad. This document constitutes the complete and final agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and understandings.
