2. SCOPE OF WORK AND DELIVERABLESThe Robotics Engineer engaged under this Purchase Order shall be responsible for the following deliverables and activities, all to be executed in Naples, Italy:

- Place of Performance: All services described in this Purchase Order shall be performed at the Buyer's facility in Naples, Italy, unless otherwise specified in a written amendment signed by both parties. The Robotics Engineer shall comply with all local regulations, safety standards, and workplace protocols applicable in the Campania region of Italy.
- Qualification Requirements: The Robotics Engineer assigned to this Purchase Order must hold a minimum of a Master's degree in Robotics, Mechatronics, or a closely related engineering discipline, and possess a minimum of five (5) years of professional experience in industrial robotics. The Engineer must be legally authorized to work in Italy and shall present valid professional credentials upon commencement of work in Naples.
- Payment Schedule: Payment shall be made in accordance with the Net 30 terms stated in this Purchase Order. Invoices shall be submitted monthly by the 5th business day. The Buyer shall remit payment via bank transfer to the account designated by the Supplier. All amounts are exclusive of Italian VAT (IVA), which shall be applied at the prevailing rate of 22% and itemized on the invoice.
- Intellectual Property: All designs, code, documentation, and proprietary knowledge developed by the Robotics Engineer in the course of fulfilling this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Supplier grants the Buyer a perpetual, irrevocable license to use, modify, and reproduce all deliverables.
- Confidentiality: The Robotics Engineer and the Supplier shall maintain strict confidentiality regarding all technical data, trade secrets, and business information of the Buyer encountered during the performance of this Purchase Order in Naples, Italy. This obligation shall survive the termination of this contract for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination. The Robotics Engineer shall complete all in-progress deliverables or provide a full handover to a successor engineer within the notice period.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Naples, Italy.
- Health and Safety: The Robotics Engineer shall adhere to all Italian occupational health and safety regulations (D.Lgs. 81/2008) while working at the Naples, Italy facility. The Buyer shall provide appropriate personal protective equipment (PPE) and site induction prior to commencement of work.
