This Purchase Order is issued by TecnoIndustrias del Norte, S.A. de C.V. (hereinafter referred to as the "Buyer") to RoboTech Solutions International, LLC (hereinafter referred to as the "Supplier") for the procurement of specialized professional services rendered by a qualified Robotics Engineer. The services described herein shall be performed exclusively at the Buyer's manufacturing and research facility located in Mexico Mexico City, specifically at the address listed above. This Purchase Order constitutes a binding agreement between both parties upon full execution and shall govern all terms, conditions, deliverables, and payment obligations associated with the engagement of the Robotics Engineer.
The primary objective of this Purchase Order is to secure the expertise of a senior Robotics Engineer to oversee, design, and implement an advanced automated assembly line within the Buyer's production plant in Mexico Mexico City. The Robotics Engineer shall be responsible for the complete lifecycle of the robotic automation project, including initial feasibility studies, system architecture design, hardware and software integration, on-site commissioning, operator training, and post-deployment technical support.
The Robotics Engineer engaged under this Purchase Order shall provide the following services at the Buyer's facility in Mexico Mexico City:

3.1 Payment Schedule: Payment for this Purchase Order shall be made in four (4) installments: 25% upon execution of this Purchase Order, 35% upon completion of the design and installation phases in Mexico Mexico City, 25% upon successful commissioning and acceptance testing, and 15% upon completion of the full 12-month support period. All payments shall be made via wire transfer to the account designated by the Supplier.
3.2 Location of Work: All services under this Purchase Order shall be performed at the Buyer's facility in Mexico Mexico City. The Robotics Engineer shall be required to be physically present at the Mexico Mexico City site for a minimum of five (5) business days per week during active project phases. Travel, accommodation, and per diem expenses for the Robotics Engineer while stationed in Mexico Mexico City shall be borne by the Buyer in accordance with the rates specified in Appendix A of this Purchase Order.
3.3 Qualifications: The Robotics Engineer assigned to this Purchase Order must hold a minimum of a Master's degree in Robotics, Mechatronics, or a related engineering discipline, possess at least ten (10) years of professional experience in industrial robotics, and demonstrate prior experience with KUKA, FANUC, or ABB robotic platforms. The Robotics Engineer must also be fluent in both English and Spanish to effectively communicate with the plant team in Mexico Mexico City.
3.4 Compliance and Regulations: The Supplier and the Robotics Engineer shall comply with all applicable federal and state regulations of the United Mexican States, including but not limited to the Federal Labor Law (Ley Federal del Trabajo), the General Law of Industrial Property, and all safety standards established by the Mexican Bureau of Standards (NOM). All work performed in Mexico Mexico City shall adhere to local occupational health and safety protocols.
3.5 Intellectual Property: All designs, programs, documentation, and proprietary knowledge developed by the Robotics Engineer specifically for the Buyer's facility in Mexico Mexico City under this Purchase Order shall be the exclusive property of the Buyer. The Supplier warrants that no third-party intellectual property rights shall be infringed by the deliverables.
3.6 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Supplier for all work completed and non-cancellable commitments made by the Robotics Engineer up to the date of termination.
3.7 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Mexican States. Any disputes arising from this Purchase Order shall be resolved through binding arbitration in Mexico Mexico City in accordance with the rules of the Mexican Arbitration Center (CAM).
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of a Robotics Engineer at the facility in Mexico Mexico City. This document, once fully executed, shall serve as the definitive procurement instrument for the services described herein.
