This Purchase Order is issued to procure the professional services of a qualified Robotics Engineer to be deployed at the Northern Industrial Automation Systems JSC manufacturing facility located in Russia Saint Petersburg. The Robotics Engineer shall be responsible for the design, development, integration, testing, and ongoing maintenance of industrial robotic systems, automated production lines, and advanced mechatronic assemblies within the buyer's operational premises in Russia Saint Petersburg.
The Robotics Engineer shall possess a minimum of a Master's degree in Robotics, Mechatronics, or a closely related engineering discipline, along with a minimum of seven (7) years of progressive professional experience in industrial robotics applications. The candidate must demonstrate proficiency in robotic programming languages including ROS (Robot Operating System), Python, C++, and ladder logic for PLC integration. Additionally, the Robotics Engineer must hold a valid Russian work permit or residency authorization permitting professional employment within the Russia Saint Petersburg jurisdiction.

- This Purchase Order shall be governed by and construed in accordance with the Civil Code of the Russian Federation and applicable labor regulations in force in Russia Saint Petersburg. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Arbitration Court of Saint Petersburg and Leningrad Oblast.
- The Robotics Engineer shall report to the buyer's facility at 42 Liteyny Avenue, Russia Saint Petersburg, no later than 08:30 local time on each business day. The Robotics Engineer shall comply with all site safety protocols, industrial hygiene standards, and internal operational procedures established by the buyer.
- The supplier shall guarantee that the Robotics Engineer engaged under this Purchase Order holds all necessary professional certifications, valid Russian work authorization, and professional liability insurance with a minimum coverage of 5,000,000 RUB. Failure to maintain such documentation shall constitute a material breach of this Purchase Order.
- Payment shall be processed via bank transfer to the supplier's designated account in Russia Saint Petersburg within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 0.1% per calendar day as stipulated under Article 317.1 of the Russian Civil Code.
- The Robotics Engineer shall be subject to a non-disclosure agreement (NDA) covering all proprietary technical data, manufacturing processes, and intellectual property of the buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
- Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the supplier shall ensure a minimum of thirty (30) days of transition support for the Robotics Engineer role to facilitate knowledge transfer to a replacement specialist.
- All deliverables, technical reports, and documentation produced by the Robotics Engineer in the course of performing services under this Purchase Order shall be the exclusive property of the buyer and shall be delivered in both electronic and hard-copy formats at the buyer's office in Russia Saint Petersburg.
- This Purchase Order is valid for acceptance within ten (10) business days of the issue date. Acceptance shall be confirmed in writing by the supplier's authorized representative.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Robotics Engineer professional services to be performed in Russia Saint Petersburg. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
