This Purchase Order is issued by Al-Nakheel Advanced Manufacturing Co., Ltd. (hereinafter referred to as the "Buyer") to RoboTech Global Solutions FZE (hereinafter referred to as the "Seller") for the engagement of a senior Robotics Engineer to provide specialized technical services, system design, and on-site implementation support at the Buyer's manufacturing facility located in Saudi Arabia Jeddah. The scope of work encompasses the design, programming, integration, and commissioning of industrial robotic arms, autonomous mobile robots (AMRs), and collaborative robot (cobot) systems for the Buyer's production lines.

The Robotics Engineer engaged under this Purchase Order shall perform the following duties and responsibilities at the Buyer's premises in Saudi Arabia Jeddah:

• Design and develop control architectures for six-axis industrial robotic arms (KUKA, FANUC, or ABB) to be deployed across three production lines.
• Program and configure autonomous mobile robots (AMRs) for intra-factory logistics, including path planning, obstacle avoidance, and fleet coordination.
• Integrate robotic systems with the Buyer's existing Manufacturing Execution System (MES) and Enterprise Resource Planning (ERP) platforms via OPC-UA and MQTT protocols.
• Conduct safety assessments in compliance with Saudi Standards, Metrology and Quality Organization (SASO) regulations and ISO 10218 / ISO/TS 15066 standards.
• Provide on-site training to the Buyer's maintenance and operations teams (minimum 40 hours) on robotic system operation, troubleshooting, and preventive maintenance.
• Deliver comprehensive technical documentation, including wiring diagrams, PLC ladder logic, HMI/SCADA configurations, and as-built drawings.
• Perform a 30-day post-commissioning warranty support period with guaranteed response time of 4 hours for critical faults.

The Robotics Engineer team shall report to the Buyer's facility at King Abdulaziz Economic City, Saudi Arabia Jeddah, no later than 1 August 2025. The Seller is responsible for arranging international travel, Saudi Arabia work visa sponsorship (Iqama), accommodation, and local transportation for the duration of the contract. All personnel must hold valid professional qualifications recognized by the Saudi Commission for Health Specialties or equivalent engineering accreditation bodies.

• 30% advance payment upon acceptance of this Purchase Order (SAR 208,725.00 including VAT).
• 40% milestone payment upon successful commissioning of all robotic systems (SAR 278,300.00 including VAT).
• 30% final payment upon completion of training, documentation handover, and expiry of the 30-day warranty period (SAR 208,725.00 including VAT).
• All payments shall be made via bank transfer to the Seller's designated account in Saudi Riyals (SAR) within 30 days of invoice receipt.

• This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved through arbitration in Jeddah under the rules of the Saudi Center for Commercial Arbitration.
• The Robotics Engineer and all supporting personnel must comply with all local labor laws, Saudi labor regulations, and the Buyer's site safety policies while operating in Saudi Arabia Jeddah.
• All intellectual property developed specifically for the Buyer under this engagement shall vest in the Buyer upon full payment. The Seller retains ownership of pre-existing proprietary tools and methodologies.
• The Seller warrants that the Robotics Engineer assigned shall possess a minimum of 15 years of progressive experience in industrial robotics, with documented projects involving KUKA, FANUC, or ABB platforms.
• Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the termination date.
• The Seller shall maintain professional indemnity insurance of not less than SAR 5,000,000 and public liability insurance of not less than SAR 2,000,000 for the duration of the engagement in Saudi Arabia Jeddah.
• Confidentiality: All proprietary information, process data, and trade secrets of the Buyer shall remain strictly confidential and shall not be disclosed to any third party without prior written consent.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of a Robotics Engineer in Saudi Arabia Jeddah. This document constitutes a binding agreement upon countersignature by both authorized representatives.
