This Purchase Order is issued by Meridian Advanced Technologies Pte. Ltd. (hereinafter referred to as the "Purchaser") to Apex Robotics Solutions Pte. Ltd. (hereinafter referred to as the "Vendor") for the professional engagement of a qualified Robotics Engineer to provide specialized technical services in support of the Purchaser's autonomous manufacturing and logistics automation programme. The Robotics Engineer shall be physically stationed and perform all duties at the Purchaser's operational facility located in Singapore Singapore, specifically at the 128 Marina Boulevard premises. The scope of work encompasses the design, development, integration, testing, and commissioning of robotic systems, including but not limited to industrial robotic arms, autonomous mobile robots (AMRs), collaborative robots (cobots), and associated sensor and control systems. The Robotics Engineer shall also be responsible for writing and maintaining firmware, developing control algorithms, performing kinematic analysis, and ensuring compliance with all applicable Singapore Standards (SS) and International Organization for Standardization (ISO) safety regulations governing robotic equipment deployed in Singapore Singapore.

1. This Purchase Order is governed by the laws of the Republic of Singapore. All disputes arising from this Purchase Order relating to the Robotics Engineer engagement shall be resolved through arbitration in Singapore Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC).
2. The Robotics Engineer engaged under this Purchase Order shall be subject to the Purchaser's site safety policies, code of conduct, and all applicable employment and workplace regulations as enforced in Singapore Singapore. The Vendor shall ensure that the Robotics Engineer holds all necessary professional certifications, including but not limited to a valid Engineering Council Singapore (ECS) registration where applicable.
3. Payment terms: Net 30 days from the date of invoice submission. Invoices shall be submitted monthly in arrears. All payments shall be made via bank transfer to the Vendor's designated account in Singapore Singapore. Late payments shall attract interest at the rate of 1.5% per month.
4. The Vendor warrants that the Robotics Engineer shall dedicate a minimum of 40 hours per week to the Purchaser's project and shall not be concurrently engaged in any conflicting project without prior written consent from the Purchaser.
5. All intellectual property, designs, code, documentation, and work product created by the Robotics Engineer in the course of performing services under this Purchase Order shall be the sole and exclusive property of the Purchaser.
6. The Vendor shall maintain comprehensive professional indemnity insurance and public liability insurance with a minimum coverage of SGD 5,000,000 for the duration of the engagement in Singapore Singapore.
7. Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Purchaser shall be liable for all services rendered up to the effective date of termination.
8. The Robotics Engineer shall comply with all data protection requirements under the Personal Data Protection Act (PDPA) of Singapore Singapore and shall not disclose any confidential or proprietary information of the Purchaser to any third party.
9. This Purchase Order does not constitute an employment relationship between the Purchaser and the Robotics Engineer. The Robotics Engineer remains an employee or contractor of the Vendor.

By signing below, the Vendor acknowledges receipt of this Purchase Order and agrees to provide the Robotics Engineer services as described herein, in full compliance with all terms and conditions set forth in this document. The Vendor confirms that the Robotics Engineer shall commence duties at the Purchaser's facility in Singapore Singapore on or before the Required Commencement Date stated above.
