This Purchase Order is issued by Madrid Advanced Automation S.L. to formally request and authorize the procurement of specialized professional services rendered by a qualified Robotics Engineer for the duration of the project period specified herein. The services shall be performed exclusively within the metropolitan area of Spain Madrid, at the buyer's primary facility located on Paseo de la Castellana, 28046 Madrid. The Robotics Engineer shall be responsible for the design, integration, programming, testing, and commissioning of an autonomous robotic assembly line for the production of precision electronic components. All deliverables, technical documentation, and on-site work must comply with the applicable regulations of the Kingdom of Spain, including but not limited to the Spanish Labour Law (Estatuto de los Trabajadores), the Royal Decree 1215/1997 on industrial safety, and the European Machinery Directive 2006/42/EC as transposed into Spanish national law.

The Robotics Engineer shall commence on-site work at the buyer's facility in Spain Madrid no later than 1 August 2025. The total project duration, including the post-commissioning support period, shall not exceed fourteen (14) calendar months from the start date. All milestones and deliverables shall be tracked in accordance with the project schedule annexed to this Purchase Order as Annex A. The Robotics Engineer is required to be physically present at the Spain Madrid facility a minimum of five (5) days per week during the design, programming, and commissioning phases, unless otherwise agreed in writing by both parties.

Payment shall be made in monthly instalments corresponding to the line items above, invoiced at the end of each calendar month of active service. Invoices must reference this Purchase Order number (PO-2025-04782) and shall be submitted to the buyer's accounts payable department in Spain Madrid. Payment terms are net thirty (30) days from the date of receipt of a valid invoice. All payments shall be made via bank transfer to the supplier's designated account in the Spanish banking system. Late payments shall accrue interest at the rate established by the Spanish Law 3/2004 on the Fight Against Late Payment in Commercial Transactions.

This Purchase Order constitutes a binding agreement between the parties upon signature by both authorized representatives. It supersedes all prior negotiations, quotations, and correspondence relating to the procurement of the Robotics Engineer services described herein.
The Robotics Engineer shall maintain all professional certifications, insurance coverage (including professional liability and workers' compensation as required by Spanish law), and technical qualifications throughout the duration of the engagement in Spain Madrid.
All intellectual property, designs, code, and documentation produced by the Robotics Engineer in the course of this Purchase Order shall become the exclusive property of Madrid Advanced Automation S.L. upon full payment.
The supplier shall ensure that the Robotics Engineer complies with all health and safety regulations applicable in Spain Madrid, including the use of personal protective equipment (PPE) on the factory floor.
Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the effective date of termination.
Any disputes arising from this Purchase Order shall be resolved by the competent courts of Spain Madrid, in accordance with the laws of the Kingdom of Spain.
The supplier shall not subcontract any portion of the Robotics Engineer services without prior written consent from the buyer.
All data and proprietary information exchanged under this Purchase Order shall be treated as confidential and shall not be disclosed to third parties without mutual written agreement, in compliance with the Spanish Organic Law 3/2018 on Personal Data Protection and the GDPR.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Robotics Engineer services to be performed in Spain Madrid. This document is executed in two (2) original copies, one for each party.
