This Purchase Order is issued by Valencia Robotics Solutions S.L. to procure the professional services of a qualified Robotics Engineer to be deployed at our primary manufacturing and R&D facility located in Spain Valencia. The Robotics Engineer shall be responsible for the design, development, integration, testing, and ongoing maintenance of industrial robotic systems, collaborative robot (cobot) workstations, and automated guided vehicle (AGV) fleets operating within our production lines.

The Robotics Engineer engagement under this Purchase Order is structured as a full-time, on-site professional services contract with a minimum duration of twelve (12) months, commencing on 1 September 2025. The Robotics Engineer will report directly to the Head of Automation at our Spain Valencia campus and will work in close coordination with the mechanical, electrical, and software engineering teams to ensure seamless integration of robotic solutions across all production stages.

4.1 This Purchase Order constitutes a binding agreement between Valencia Robotics Solutions S.L. (hereinafter "the Buyer") and Advanced Automation & Robotics Consulting Group S.L. (hereinafter "the Supplier") for the provision of Robotics Engineer services at the Buyer's facility in Spain Valencia.

4.2 The Robotics Engineer assigned to this Purchase Order must hold a minimum of a Master's degree in Robotics, Mechatronics, or a closely related engineering discipline, and a minimum of seven (7) years of progressive experience in industrial robotics deployment. The Supplier shall provide a detailed CV and references prior to commencement.

4.3 All work shall be performed on-site at the Buyer's premises in Spain Valencia, unless otherwise agreed in writing. The Robotics Engineer shall comply with all local labor regulations, workplace safety standards, and data protection requirements applicable in Spain.

4.4 Payment shall be made in monthly installments of EUR 21,477.50 (inclusive of VAT) within thirty (30) days of receipt of a valid invoice. The Supplier shall submit invoices by the 5th business day of each month for services rendered in the preceding month.

4.5 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach, failure to meet performance KPIs, or insolvency of the Supplier. Upon termination, the Supplier shall deliver all work-in-progress documentation and source code to the Buyer.

4.6 All intellectual property, designs, programs, and documentation created by the Robotics Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of the Buyer. The Supplier warrants that all deliverables are original and do not infringe upon third-party intellectual property rights.

4.7 The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of EUR 2,000,000 per occurrence, valid throughout the term of this Purchase Order.

4.8 Disputes arising from this Purchase Order shall be resolved through binding arbitration in Spain Valencia, in accordance with the rules of the Valencia Chamber of Commerce. The governing law shall be the laws of Spain.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Robotics Engineer services to be delivered in Spain Valencia. This document, once executed, shall serve as the definitive procurement record for the referenced engagement.
