Date: 15 June 2025 1. Purpose of This Purchase Order
This Purchase Order is issued by Anatolia Advanced Automation Systems A.Ş. to formally authorize the procurement of specialized professional services in the field of robotics and mechatronic engineering. The primary objective of this Purchase Order is to engage a qualified Robotics Engineer to be deployed and stationed at our operational facility located in Turkey Ankara, specifically within the Kızılay Industrial Zone in the Çankaya District. The Robotics Engineer shall be responsible for the design, development, testing, and ongoing maintenance of automated robotic systems that support our manufacturing and logistics operations in Turkey Ankara. This Purchase Order constitutes a binding agreement between the Buyer and the Supplier for the duration specified herein, and all terms, conditions, and deliverables outlined in this document shall be strictly adhered to by both parties.
2. Scope of Services – Robotics Engineer EngagementThe Robotics Engineer engaged under this Purchase Order shall perform the following duties and responsibilities at the Turkey Ankara facility:
- Design and program industrial robotic arms, collaborative robots (cobots), and autonomous mobile robots (AMRs) for use in the Turkey Ankara production line.
- Develop and implement PLC (Programmable Logic Controller) and SCADA integration systems to ensure seamless communication between robotic units and the central manufacturing management system.
- Conduct routine diagnostics, preventive maintenance, and corrective repairs on all robotic equipment deployed in Turkey Ankara.
- Prepare technical documentation, including system schematics, wiring diagrams, and operational manuals, in both English and Turkish for the Turkey Ankara engineering team.
- Collaborate with the Turkey Ankara quality assurance department to ensure all robotic systems meet ISO 10218 and ISO/TS 15066 safety standards.
- Provide weekly progress reports to the Project Director in Turkey Ankara and participate in monthly performance review meetings.
- Train local Turkey Ankara technicians on the operation, troubleshooting, and basic maintenance of the robotic systems.

The Robotics Engineer shall report to the Anatolia Advanced Automation Systems A.Ş. facility in Turkey Ankara no later than 1 July 2025. The Supplier is responsible for arranging all travel logistics, work permit documentation, and residency registration required for the Robotics Engineer to legally perform professional services in Turkey Ankara. The Supplier shall ensure that the Robotics Engineer holds a valid work authorization issued by the Turkish Ministry of Labor and Social Security prior to the commencement date. All on-site work shall be conducted at the Turkey Ankara premises during standard business hours (08:30–17:30, Monday through Friday), with the possibility of overtime as mutually agreed upon in writing.
5. Terms and Conditions- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes arising from this Purchase Order related to the Robotics Engineer engagement in Turkey Ankara shall be resolved through arbitration in Ankara under the rules of the Istanbul Arbitration Center (ISTAC).
- Confidentiality: The Robotics Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work in Turkey Ankara. All proprietary data, system designs, and operational procedures of Anatolia Advanced Automation Systems A.Ş. shall remain strictly confidential.
- Performance Standards: The Robotics Engineer shall meet all Key Performance Indicators (KPIs) as defined in the attached Service Level Agreement (SLA). Failure to meet KPIs for two consecutive months shall entitle the Buyer to terminate this Purchase Order with 30 days' written notice.
- Payment Schedule: Invoices shall be submitted monthly by the 5th business day. Payment shall be made via bank transfer to the account specified by the Supplier within 30 days of invoice receipt. Late payments shall incur a penalty of 1.5% per month as per Turkish commercial law.
- Insurance: The Supplier shall maintain comprehensive professional liability insurance and workers' compensation coverage for the Robotics Engineer throughout the engagement period in Turkey Ankara, with a minimum coverage of TRY 5,000,000.
- Termination: Either party may terminate this Purchase Order with 60 days' written notice. In the event of termination, the Supplier shall ensure a smooth knowledge transfer from the Robotics Engineer to the Turkey Ankara in-house team within 15 business days.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting Turkey Ankara.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Robotics Engineer at the Turkey Ankara facility. This Purchase Order becomes effective upon the signature of both authorized representatives.
