This Purchase Order is issued by Meridian Advanced Technologies Ltd. to Apex Engineering Solutions Ltd. for the provision of a fully qualified Robotics Engineer on a secondment and contract basis. The Robotics Engineer shall be based at our principal operations facility located at 142 Regent Street, United Kingdom London, and shall report directly to the Chief Technology Officer. The engagement is structured to support the development, integration, and deployment of autonomous robotic systems for our advanced manufacturing and logistics divisions.
The Robotics Engineer engaged under this Purchase Order shall perform the following duties and responsibilities while stationed in United Kingdom London:
- Design, develop, and programme autonomous robotic systems including industrial manipulators, mobile autonomous vehicles (MAVs), and collaborative robots (cobots) for deployment across our United Kingdom London manufacturing sites.
- Conduct feasibility studies, risk assessments, and technical evaluations for new robotic process automation initiatives in alignment with UK Health and Safety Executive (HSE) regulations and ISO 10218 standards.
- Integrate robotic hardware with existing SCADA, PLC, and ERP systems to ensure seamless operational continuity within the United Kingdom London production environment.
- Develop and maintain comprehensive technical documentation, including system architecture diagrams, control logic schematics, and maintenance manuals for all robotic assets.
- Lead a team of up to four junior engineers and technicians in the execution of robotic system upgrades, troubleshooting, and preventive maintenance programmes.
- Collaborate with cross-functional departments including Quality Assurance, Operations, and IT to ensure the Robotics Engineer deliverables meet all project milestones and performance specifications.
- Stay current with emerging technologies in robotics, artificial intelligence, machine learning, and sensor fusion, and provide quarterly strategic recommendations to senior management.
- Ensure full compliance with all applicable UK legislation, including the Supply of Machinery (Safety) Regulations 2008, the Data Protection Act 2018, and relevant UKCA marking requirements for robotic equipment.

- This Purchase Order is governed by the laws of England and Wales. Any disputes arising from this engagement shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
- The Robotics Engineer shall be treated as a worker under the UK Employment Rights Act 1996 for the duration of the contract, with all statutory entitlements including holiday pay, pension contributions, and sick leave as applicable.
- Payment shall be made via BACS transfer to the supplier's nominated bank account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall attract interest at the rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
- The supplier warrants that the Robotics Engineer holds a minimum of a Master's degree in Robotics, Mechatronics, or a closely related engineering discipline, and possesses a minimum of seven (7) years of progressive post-qualification experience in industrial robotics.
- All intellectual property, designs, code, and documentation created by the Robotics Engineer during the course of this engagement shall be the sole property of Meridian Advanced Technologies Ltd. upon payment in full.
- Either party may terminate this Purchase Order with ninety (90) days' written notice. In the event of termination, the supplier shall ensure a structured handover period of no less than four (4) weeks to maintain operational continuity at the United Kingdom London facility.
- The supplier shall maintain adequate Professional Indemnity Insurance and Public Liability Insurance throughout the contract term and shall provide certificates of insurance upon request.
- All personal data processed in connection with this Purchase Order shall be handled in strict compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
- This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, and agreements relating to the engagement of the Robotics Engineer in United Kingdom London.
This Purchase Order is authorised and issued by the undersigned on behalf of Meridian Advanced Technologies Ltd. Acceptance of this Purchase Order by the supplier shall constitute a binding agreement for the provision of the Robotics Engineer services as described herein, with all work to be performed at the United Kingdom London premises of the buyer.
