The Buyer requires the Supplier to identify, vet, and deliver a senior-level Robotics Engineer who possesses a minimum of eight (8) years of hands-on experience in the design, development, programming, and deployment of industrial and collaborative robotic systems.
The Robotics Engineer engaged under this Purchase Order shall be responsible for leading the Buyer's automation projects at its primary manufacturing facility located in the Tan Thuan Industrial Park, District 7, Vietnam Ho Chi Minh City. The scope of work includes but is not limited to: system architecture design for multi-axis robotic arms, PLC and HMI integration, end-effector calibration, predictive maintenance programming, and the supervision of a team of up to six (6) junior technicians. The Robotics Engineer shall also be expected to conduct quarterly training sessions for the Buyer's internal engineering staff and to produce detailed technical documentation in accordance with ISO 10218 and IEC 60204-1 standards.

- Commencement Date: The Robotics Engineer shall report for duty at the Buyer's facility in Vietnam Ho Chi Minh City no later than 1 August 2025. The Supplier shall ensure all immigration, work permit, and tax registration formalities required by the Vietnamese government are completed prior to this date.
- Contract Duration: This Purchase Order covers an initial engagement period of twelve (12) months. Renewal shall be subject to mutual written agreement and a separate Purchase Order amendment.
- Payment Terms: The Buyer shall remit payment within thirty (30) days of receipt of a valid invoice from the Supplier. The initial recruitment fee (Item 01) is due upon successful placement. Monthly service fees (Item 02) are payable in arrears on the first business day of each subsequent month. All payments shall be made via wire transfer to the Supplier's designated bank account in USD.
- Performance Standards: The Robotics Engineer shall meet the Key Performance Indicators (KPIs) outlined in Annex A of this Purchase Order, which include a minimum of 95% system uptime for deployed robotic cells, completion of all scheduled maintenance within 48 hours, and delivery of monthly progress reports to the Buyer's Operations Director.
- Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach by the Supplier, the Buyer may terminate with fourteen (14) days' notice. Upon termination, the Supplier shall facilitate an orderly transition and knowledge transfer of all project documentation related to the Robotics Engineer's work.
- Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Socialist Republic of Vietnam. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Vietnam Ho Chi Minh City under the rules of the Vietnam International Arbitration Centre (VIAC).
- Confidentiality: The Supplier and the Robotics Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance: The Supplier warrants that the Robotics Engineer shall comply with all applicable labor laws, immigration regulations, and tax obligations in Vietnam Ho Chi Minh City. The Supplier shall indemnify the Buyer against any claims, fines, or penalties arising from non-compliance.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order. This document constitutes a binding agreement for the procurement of the Robotics Engineer services as described herein, to be performed in Vietnam Ho Chi Minh City.
