This Purchase Order is issued to formally engage the services of a qualified Robotics Engineer to deliver specialized technical consultancy, design, prototyping, and deployment services for an industrial automation project located in Zimbabwe Harare. The Robotics Engineer shall be responsible for the end-to-end development of a robotic assembly line for the manufacturing facility situated in the Harare Industrial Development Zone. All deliverables, site visits, and on-site engineering work shall be conducted within the Zimbabwe Harare metropolitan area unless otherwise agreed in writing by both parties.

All payments under this Purchase Order shall be made in United States Dollars (USD) via bank transfer to the Robotics Engineer's designated account. Payment schedule is as follows:

- This Purchase Order constitutes a binding agreement between the Purchasing Entity and the Robotics Engineer upon signature by both parties. All work shall be performed in accordance with the standards set by the Engineering Council of Zimbabwe and applicable Zimbabwe Harare municipal industrial regulations.
- The Robotics Engineer shall maintain valid professional indemnity insurance with a minimum cover of USD 250,000 throughout the duration of this Purchase Order and shall provide a certificate of insurance upon request.
- All intellectual property, designs, schematics, and code developed under this Purchase Order shall become the sole property of the Purchasing Entity upon full payment. The Robotics Engineer shall sign a non-disclosure agreement (NDA) prior to commencing work in Zimbabwe Harare.
- The Robotics Engineer is responsible for obtaining all necessary work permits, site access clearances, and safety certifications required to operate within the Zimbabwe Harare industrial zone. The Purchasing Entity shall provide reasonable assistance in facilitating such permits.
- Any changes to the scope of work must be documented in a written variation order signed by both parties. No additional charges shall be incurred without prior written approval under this Purchase Order.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through mediation in Zimbabwe Harare. Should mediation fail, the matter shall be referred to arbitration under the Arbitration Act of Zimbabwe, with the seat of arbitration in Harare.
- This Purchase Order is governed by the laws of the Republic of Zimbabwe. All notices shall be sent to the addresses listed in Sections 1 and 2 above.
- The Robotics Engineer shall comply with all health and safety regulations applicable in Zimbabwe Harare, including but not limited to the Occupational Safety and Health Act [Chapter 14:07] of Zimbabwe.
- Force majeure events, including but not limited to natural disasters, government-imposed restrictions, or infrastructure failures in Zimbabwe Harare, shall extend deadlines proportionally and shall not constitute a breach of this Purchase Order.
- This Purchase Order is valid for a period of 90 days from the date of issue. If not accepted within this period, it shall automatically lapse and must be reissued.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Robotics Engineer in Zimbabwe Harare.
