1. Description of ProcurementThis Purchase Order is issued by Atlantic Ridge Business Solutions (Pty) Ltd (hereinafter referred to as the "Buyer") to Meridian Talent Partners (Pty) Ltd (hereinafter referred to as the "Supplier") for the recruitment, placement, and onboarding of a qualified Sales Executive to be based and operational within the South Africa Cape Town metropolitan area. The Sales Executive shall be responsible for driving revenue growth, managing client relationships, and executing strategic sales initiatives across the Western Cape region, with a primary focus on the Cape Town business district and surrounding commercial hubs including Woodstock, Green Point, and the Atlantic Seaboard.
2. Scope of Services and DeliverablesThe Supplier shall deliver the following services in accordance with this Purchase Order:

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of South Africa, specifically applicable within the jurisdiction of the Western Cape Province, Cape Town.
- Payment Terms: Payment shall be made within 30 (thirty) calendar days from the date of a valid tax invoice issued by the Supplier. Payment shall be effected via electronic funds transfer (EFT) to the Supplier's designated bank account in South Africa. The Buyer reserves the right to withhold 20% of the total amount until the Sales Executive has successfully completed the 90-day replacement guarantee period.
- Commencement Date: The Sales Executive shall commence duties no later than 01 July 2025 at the Buyer's premises located in the Cape Town Central Business District. Any delay beyond this date shall incur a penalty of ZAR 2,500 per calendar day, deducted from the total Purchase Order value.
- Confidentiality: The Supplier and the placed Sales Executive shall maintain strict confidentiality regarding all proprietary information, client databases, pricing structures, and strategic plans of the Buyer. This obligation shall survive the termination of this engagement for a period of 24 months.
- Compliance: The Supplier warrants that the Sales Executive shall be fully compliant with all applicable South African labour legislation, including the Labour Relations Act 66 of 1995, the Basic Conditions of Employment Act 75 of 1997, and the Employment Equity Act 55 of 1998. The Supplier shall ensure that all recruitment practices adhere to the South African Employment Equity framework.
- Dispute Resolution: Any dispute arising from this Purchase Order shall first be subject to mediation in Cape Town, South Africa. Should mediation fail, the matter shall be referred to the High Court of South Africa, Western Cape Division, Cape Town, for arbitration in accordance with the Arbitration Act 42 of 1965.
- Termination: Either party may terminate this Purchase Order with 14 (fourteen) days' written notice. In the event of termination prior to the placement of the Sales Executive, the Buyer shall be liable for 50% of the recruitment and sourcing fee only. No further charges shall apply.
- Anti-Corruption: The Supplier represents and warrants that no part of the fees payable under this Purchase Order shall be used to bribe, corrupt, or improperly influence any public official or private party in South Africa or any other jurisdiction.
This Purchase Order constitutes a binding offer for the procurement of the Sales Executive services described herein. Acceptance by the Supplier shall be deemed upon written confirmation or upon the commencement of recruitment activities. This document is valid for acceptance within 14 (fourteen) days of the date of issue.
