This Purchase Order is issued by the Melbourne Metropolitan Public Schools Authority (hereinafter referred to as "the Authority") to Harbourview Educational Counselling Services Pty Ltd (hereinafter referred to as "the Supplier") for the engagement of a qualified School Counselor to provide comprehensive student welfare, mental health support, and pastoral care services across designated public school campuses in Australia Melbourne. This Purchase Order governs the scope of services, compensation, delivery timelines, and all associated terms and conditions for the provision of School Counselor services during the 2025–2026 academic year.

4.1 Scope of Work. The Supplier shall provide a qualified School Counselor who holds current registration with the Australian Psychology Board and the Australian Association of Social Workers (AASW). The School Counselor must demonstrate a minimum of five (5) years of experience in educational settings within Australia Melbourne or equivalent metropolitan areas. All services shall be delivered in accordance with the Victorian Education and Training Act 2006 and the National Quality Standards for early childhood and school-based services.

4.2 Delivery and Commencement. Services shall commence on 1 July 2025 and conclude on 30 June 2026, aligning with the Australian academic calendar. The School Counselor shall be required to attend an onboarding induction at the Authority's Melbourne headquarters within the first five (5) business days of commencement.

4.3 Payment Terms. Payment shall be made on a monthly basis via direct bank transfer to the Supplier's nominated Australian bank account. Invoices are to be submitted by the 5th of each month for services rendered in the preceding month. Payment shall be processed within thirty (30) days of receipt of a valid tax invoice. All amounts are stated in Australian Dollars (AUD) and are inclusive of Goods and Services Tax (GST) at the current rate of 10%.

4.4 Compliance and Safeguarding. The School Counselor shall hold a current Working with Children Check (WWCC) issued by the Victorian Police and shall comply with all mandatory reporting obligations under the Children, Youth and Families Act 2005 (Victoria). The Supplier warrants that the School Counselor shall adhere to the Australian Professional Standards for Teachers and the Code of Ethics for psychologists and social workers practising in Australia Melbourne.

4.5 Confidentiality and Data Protection. All student records, counselling notes, and personal information shall be handled in strict accordance with the Privacy Act 1988 (Cth) and the Victorian Information Privacy and Protection Act 2014. Data shall be stored on secure servers located within Australia Melbourne and shall not be transferred to third parties without written consent from the Authority.

4.6 Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the Authority may terminate immediately upon written notice. Upon termination, the Supplier shall provide a full transition plan for the School Counselor's caseload and all outstanding student records.

4.7 Dispute Resolution. Any disputes arising under this Purchase Order shall first be attempted to be resolved through good-faith negotiation. If unresolved within fourteen (14) days, the matter shall be referred to mediation under the Victorian Commercial Arbitration Act 2011. All proceedings shall be conducted in Melbourne, Victoria, Australia.

This Purchase Order is valid only upon signature by an authorised representative of both parties. By signing below, the Supplier acknowledges and accepts all terms, conditions, and obligations outlined in this Purchase Order for the provision of School Counselor services in Australia Melbourne.
