3.1 Scope and Compliance
The School Counselor services procured under this Purchase Order shall be delivered in full compliance with the Education Law of the People's Republic of China, the Minor Protection Law of the PRC (2020 revision), and all applicable regulations issued by the Beijing Municipal Education Commission. The School Counselor must hold a valid Chinese psychological counselor qualification certificate (国家心理咨询师) or an equivalent credential recognized by the Beijing Municipal Human Resources and Social Security Bureau. All counseling records shall be maintained in accordance with PRC data protection regulations and the Personal Information Protection Law (PIPL) effective November 1, 2021.
3.2 Commencement and Duration
Services shall commence on September 1, 2025, coinciding with the start of the 2025–2026 academic year at BIBA, Beijing. The engagement period shall extend through June 30, 2026, unless terminated earlier in accordance with Section 3.6. The School Counselor is expected to be present on the Beijing campus no later than August 25, 2025, for orientation, facility familiarization, and integration with existing student services staff.
3.3 Payment Terms
Payment shall be made in four (4) equal quarterly installments of CNY 48,945.50 each, due within thirty (30) calendar days of the end of each quarter (December 31, 2025; March 31, 2026; June 30, 2026; and a final reconciliation payment by July 31, 2026). Payment shall be made via bank transfer to the Seller's designated corporate account in Beijing. The Seller shall issue a compliant VAT invoice (增值税专用发票) for each payment. Late payments shall accrue interest at 0.05% per day as stipulated under PRC contract law.
3.4 Performance Standards and KPIs
The School Counselor shall meet the following key performance indicators: (a) maintain a caseload ratio not exceeding 1:250 students; (b) conduct a minimum of 15 individual counseling sessions per week; (c) respond to crisis situations within 30 minutes of notification; (d) submit monthly activity reports to the Director of Student Services by the 5th business day of the following month; (e) complete all mandated reporting obligations to Beijing municipal authorities within statutory timeframes. Failure to meet KPIs for two consecutive months shall constitute grounds for a formal performance improvement plan.
3.5 Confidentiality and Data Protection
All student records, counseling notes, assessment data, and personal information handled by the School Counselor in the course of this Purchase Order shall be treated as strictly confidential. The Seller and the School Counselor shall execute a separate Non-Disclosure Agreement (NDA) and Data Processing Agreement compliant with the PIPL prior to the commencement of services. No student data shall be transferred outside the territory of China without explicit written consent from the student's legal guardian and approval from the Beijing Municipal Education Commission.
3.6 Termination
Either party may terminate this Purchase Order with sixty (60) days' written notice. The Buyer may terminate immediately for material breach, including but not limited to: unlicensed practice, violation of PRC minor protection laws, failure to report mandated incidents, or gross negligence in the performance of School Counselor duties. Upon termination, the Seller shall deliver all student records and institutional data to the Buyer within ten (10) business days and shall destroy all copies in its possession.
3.7 Governing Law and Dispute Resolution
This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, including the Civil Code of the PRC. Any disputes arising from or in connection with this Purchase Order shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to the Beijing Arbitration Commission (BAC) for arbitration in Beijing, China. The arbitral award shall be final and binding. The language of arbitration shall be Mandarin Chinese, with English translations provided for the parties' reference.
3.8 Force Majeure
Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-mandated school closures in Beijing, public health emergencies, or changes in PRC education policy. The affected party shall notify the other in writing within five (5) business days of the occurrence.
By signing below, the authorized representatives of both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of School Counselor services in China Beijing. This document constitutes a binding contractual agreement effective upon execution by both parties.

- This Purchase Order is subject to approval by the BIBA Board of Governors and the Beijing Municipal Education Commission prior to final execution.
- The School Counselor must complete a background check (无犯罪记录证明) through the Beijing Public Security Bureau prior to the first day of service.
- All service delivery locations are within the BIBA campus premises in Haidian District, Beijing, unless otherwise agreed in writing.
- This Purchase Order supersedes all prior quotations, letters of intent, and verbal agreements between the parties regarding School Counselor services.
