This Purchase Order is issued by the Guangzhou Municipal Community Development Bureau to formally procure the services of a qualified Social Worker to be deployed in the Yuexiu and Haizhu districts of China Guangzhou. The Social Worker shall be responsible for conducting community assessments, providing case management for vulnerable populations, coordinating with local government welfare offices, and implementing psychosocial support programs for elderly residents, single-parent families, and individuals with disabilities. The Social Worker(s) shall commence duties no later than 1 August 2025 at the designated community service centers in China Guangzhou. A two-week orientation period will be provided during which the Social Worker will familiarize themselves with local government protocols, existing case files, and the specific needs of the target populations in the assigned districts. The full service period under this Purchase Order shall run from 1 August 2025 through 31 July 2026, subject to satisfactory performance evaluations conducted quarterly by the Purchasing Entity.

Payment for the services outlined in this Purchase Order shall be made in quarterly installments via bank transfer to the account designated by Pearl River Social Services Co., Ltd. The first installment of CNY 88,500.00 (25% of the total) shall be due within thirty (30) calendar days of the commencement date. Subsequent quarterly payments of CNY 88,500.00 shall be due on 1 November 2025, 1 February 2026, and 1 May 2026, respectively. All payments are subject to the Social Worker meeting the performance benchmarks established in the attached Service Level Agreement. Late payments shall incur an interest charge of 0.05% per calendar day as stipulated under the Civil Code of the People's Republic of China.

This Purchase Order is governed by the laws of the People's Republic of China, including the Civil Code, the Social Work Promotion Law, and applicable municipal regulations of Guangzhou, Guangdong Province.
The Social Worker engaged under this Purchase Order must maintain strict confidentiality of all client information in accordance with the Personal Information Protection Law of China and the professional ethics code of the Chinese Association of Social Workers.
The Service Provider shall ensure that the Social Worker holds valid professional liability insurance with a minimum coverage of CNY 1,000,000 per incident throughout the duration of this Purchase Order.
Any modification, amendment, or cancellation of this Purchase Order must be executed in writing and signed by authorized representatives of both parties. Verbal agreements shall hold no legal force.
The Purchasing Entity reserves the right to terminate this Purchase Order with thirty (30) days written notice if the Social Worker fails to meet the agreed-upon service standards for two consecutive quarterly evaluations.
All disputes arising from this Purchase Order shall first be resolved through good-faith negotiation. If unresolved within sixty (60) days, the matter shall be submitted to the Guangzhou Arbitration Commission for binding arbitration in China Guangzhou.
The Service Provider warrants that the Social Worker has no criminal record and has passed all required background checks conducted by the Guangzhou Public Security Bureau prior to deployment.
This Purchase Order constitutes the entire agreement between the parties regarding the procurement of Social Worker services and supersedes all prior negotiations, representations, or agreements.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Social Worker services in China Guangzhou. This document is valid for a period of ninety (90) days from the date of issue, after which it shall be considered void unless renewed in writing.
