This Purchase Order is issued by Atlas Digital Solutions SARL (hereinafter referred to as the "Buyer") to formally procure the professional services of a qualified Software Engineer to be deployed and performing all contractual duties within the city of Algeria Algiers, specifically at the Buyer's headquarters located in the Hydra district. The engagement is structured as a fixed-term professional services contract for a period of twelve (12) months, commencing on 01 August 2025 and concluding on 31 July 2026, unless extended by mutual written agreement of both parties.

The Software Engineer engaged under this Purchase Order shall perform the following duties at the designated work location in Algeria Algiers:
- Design, develop, test, and deploy software modules in accordance with the Buyer's technical specifications and project timelines, ensuring all code adheres to industry best practices and the Buyer's internal coding standards.
- Participate in weekly sprint planning meetings, daily stand-ups, and bi-weekly stakeholder reviews held at the Buyer's office in the Hydra district, Algiers, Algeria.
- Provide technical mentorship to junior developers and contribute to the internal knowledge base maintained by the Software Engineering division.
- Ensure compliance with all applicable Algerian data protection regulations, including Law No. 18-07 on the Protection of Personal Data, when handling any user data within the systems under development.
- Submit monthly progress reports to the Buyer's Project Director, detailing completed tasks, outstanding issues, and planned activities for the following month.
- Maintain confidentiality of all proprietary information, source code, business strategies, and client data encountered during the course of employment in Algiers, Algeria, both during and after the term of this Purchase Order.
All payments under this Purchase Order shall be made in Algerian Dinars (DZD) via bank transfer to the Seller's designated account at a licensed Algerian financial institution. Invoices shall be submitted on the last business day of each calendar month. The Buyer shall remit payment within thirty (30) calendar days of receipt of a valid, itemized invoice. Late payments shall accrue interest at the rate of 1.5% per month, in accordance with Algerian commercial law. The total contract value of this Purchase Order for the Software Engineer engagement in Algeria Algiers is DZD 9,311,750 (nine million three hundred eleven thousand seven hundred fifty Algerian Dinars), inclusive of all applicable taxes and levies.
4. DELIVERY, COMMENCEMENT, AND LOCATIONThe Software Engineer shall report for duty at the Buyer's premises located at 45, Boulevard Zighout Youcef, Hydra, 16000 Algiers, Algeria, no later than 08:00 on 01 August 2025. All work deliverables, source code repositories, and project documentation shall be hosted on the Buyer's internal servers physically located in Algiers, Algeria. Remote work is not authorized under this Purchase Order unless explicitly approved in writing by the Buyer's Human Resources Director. The Software Engineer must maintain a valid professional residence permit and work authorization in Algeria for the full duration of the engagement.
5. TERMS AND CONDITIONS- This Purchase Order is governed by and shall be construed in accordance with the laws of the People's Democratic Republic of Algeria, including the Algerian Commercial Code, the Labor Code, and all relevant decrees issued by the Ministry of Commerce and the Ministry of Labor.
- Any dispute arising from or in connection with this Purchase Order shall be resolved through amicable negotiation within thirty (30) days. Failing resolution, the matter shall be submitted to the competent commercial court of Algiers, Algeria.
- Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the effective date of termination.
- The Seller warrants that the Software Engineer assigned under this Purchase Order possesses the qualifications, certifications, and professional experience necessary to perform the duties described herein. The Seller shall replace any Software Engineer who fails to meet performance standards within fifteen (15) business days of written notice from the Buyer.
- All intellectual property created by the Software Engineer during the performance of this Purchase Order in Algiers, Algeria, shall be the exclusive property of the Buyer upon full payment of the corresponding invoice.
- This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the Software Engineer engagement. Any amendments must be made in writing and signed by authorized representatives of both parties.
