The Software Engineer engaged under this Purchase Order shall be responsible for the end-to-end development, testing, and deployment of the Córdoba Logistics Platform. All work shall be performed in accordance with the technical specifications outlined in Annex A of the master service agreement. The Software Engineer is expected to adhere to the coding standards, version control protocols (Git), and agile sprint cadence (two-week sprints) established by the Andes Digital engineering team based in Argentina Córdoba. Deliverables include, but are not limited to: functional source code, automated test suites achieving a minimum of 85% code coverage, deployment scripts, and comprehensive technical documentation.
Payment for services rendered under this Purchase Order shall be made on a monthly basis, within fifteen (15) business days following the receipt of a valid invoice (Factura A) issued by the Software Engineer. Invoices must be submitted by the 5th business day of the following month. Payment shall be executed via electronic bank transfer (transferencia bancaria) to the account designated by the contractor. Late payments shall accrue interest at the rate established by the Banco de la Nación Argentina for the applicable period. All amounts are denominated in Argentine Pesos (ARS) and are subject to the tax obligations in force in Argentina Córdoba, including but not limited to IVA, Ganancias, and monotributo/monotributo social contributions where applicable.
The primary work location for this engagement is the Andes Digital Solutions S.A. office located in Argentina Córdoba, specifically at Av. Velez Sarsfield 1250, Piso 8, B° Centro, CP 5000. The Software Engineer shall work a minimum of twenty (20) hours per week on-site and may complete the remaining hours remotely. The standard working week in Argentina Córdoba is Monday through Friday, 09:00 to 18:00 (ART – Argentina Time, UTC-3), with a one-hour lunch break. Any overtime or weekend work must be pre-approved in writing by the Project Manager.
- 6.1 – This Purchase Order constitutes a binding commitment to procure the services described herein. Acceptance by the Software Engineer shall be evidenced by written signature or electronic acknowledgment within five (5) business days of issuance.
- 6.2 – The Software Engineer warrants that all deliverables shall be original work, free from intellectual property infringement, and shall assign all rights to Andes Digital Solutions S.A. upon full payment.
- 6.3 – Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of early termination, the Software Engineer shall be compensated for all services rendered up to the effective date of termination.
- 6.4 – The Software Engineer shall comply with all data protection regulations applicable in Argentina, including Ley 25.326 de Protección de Datos Personales, and shall execute a Non-Disclosure Agreement (NDA) prior to commencing work.
- 6.5 – All disputes arising from this Purchase Order shall be resolved under the jurisdiction of the commercial courts of Córdoba, Argentina, in accordance with the Civil and Commercial Code of the Nation (Código Civil y Comercial de la Nación).
- 6.6 – The Software Engineer is engaged as an independent contractor (monotributista) and is not an employee of Andes Digital Solutions S.A. The contractor is solely responsible for their own social security contributions, health insurance, and tax filings in Argentina Córdoba.
- 6.7 – This Purchase Order may be amended only by mutual written agreement of both parties. No verbal modifications shall be binding.
This Purchase Order is issued in conjunction with and is governed by the Master Service Agreement (MSA) dated March 1, 2025, between Andes Digital Solutions S.A. and the Software Engineer. In the event of any conflict between the terms of this Purchase Order and the MSA, the terms of this Purchase Order shall prevail for the specific engagement described herein. Technical specifications, sprint plans, and acceptance criteria are detailed in Annex A, B, and C respectively, all of which are incorporated by reference.
