This Purchase Order is issued by Meridian Digital Solutions Ltd. to procure the professional services of a qualified Software Engineer to be deployed at our primary development office located in Bangladesh Dhaka. The engagement is intended to support the ongoing development, testing, and maintenance of our enterprise-grade SaaS platform, "Meridian Cloud Suite," which serves over 12,000 business clients across South Asia.
The Software Engineer shall be responsible for full-stack application development using the MERN stack (MongoDB, Express.js, React, Node.js), API design and integration, database optimization, code review, unit and integration testing, and participation in agile sprint cycles. The role requires a minimum of five (5) years of professional experience in software engineering, with demonstrated expertise in cloud-native architectures and microservices design patterns.

- Commencement: The Software Engineer shall report to the Meridian Digital Solutions office at Banani, Bangladesh Dhaka, no later than 1 July 2025. The engagement period is twelve (12) months, renewable by mutual written agreement.
- Payment Terms: Payment shall be made on a monthly basis within fifteen (15) calendar days of receipt of a valid invoice from TechBridge Consulting. All payments shall be processed via bank transfer to the account specified in Section 1. This Purchase Order constitutes the sole financial commitment for the described services.
- Working Hours: The Software Engineer shall work standard business hours, Monday through Friday, 9:00 AM to 6:00 PM (Bangladesh Standard Time), with a one-hour lunch break. Overtime, if required, shall be compensated at 1.5x the hourly rate as per the Bangladesh Labour Act 2006.
- Confidentiality & IP: All code, documentation, architectural designs, and proprietary information developed during the course of this engagement shall remain the exclusive intellectual property of Meridian Digital Solutions Ltd. The Software Engineer shall sign a Non-Disclosure Agreement (NDA) prior to commencing work in Bangladesh Dhaka.
- Performance Standards: The Software Engineer shall adhere to the company's coding standards, participate in daily stand-up meetings, and deliver sprint commitments as defined in the project management tool (Jira). Monthly performance reviews shall be conducted by the Engineering Manager.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, all completed deliverables shall be handed over, and payment shall be settled for work completed up to the termination date.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes shall be resolved through arbitration in Bangladesh Dhaka in accordance with the Arbitration Act 2001.
- Compliance: The vendor shall ensure that the Software Engineer holds all necessary work permits, tax identification numbers, and professional certifications required to legally perform software engineering services in Bangladesh Dhaka.
By signing below, both parties acknowledge and agree to the terms set forth in this Purchase Order for the procurement of Software Engineer services in Bangladesh Dhaka. This document, once countersigned, becomes a binding contractual instrument.
