This Purchase Order is issued by TechNova Solutions Brasil Ltda. to formally engage the services of a qualified Software Engineer to be deployed at the company's headquarters in Brazil Brasília, specifically at the Setor Comercial Sul office complex. The Software Engineer shall be responsible for the design, development, testing, deployment, and ongoing maintenance of enterprise-grade software applications that support the company's digital transformation initiatives. The scope of work includes but is not limited to: full-stack application development using modern frameworks, database architecture design and optimization, API integration services, cloud infrastructure management on AWS and Azure platforms, code review and quality assurance processes, and technical mentorship of junior engineering staff. The Software Engineer shall report directly to the Director of Engineering and shall operate in accordance with all applicable Brazilian labor regulations, including the Consolidation of Labor Laws (CLT) and the Federal Constitution of Brazil.

- Place of Performance: All services under this Purchase Order shall be rendered at the TechNova Solutions Brasil Ltda. premises located in Brasília – DF, Brazil. The Software Engineer is expected to be physically present at the Brasília office for a minimum of five (5) business days per week, with a standard working schedule of 44 hours per week as mandated by Brazilian federal labor law.
- Contract Period: This Purchase Order is valid for a period of twelve (12) months commencing on July 1, 2025, and expiring on June 30, 2026, unless renewed in writing by both parties no later than thirty (30) days prior to expiration.
- Payment Terms: Payment shall be made on a monthly basis via bank transfer (TED/PIX) to the account designated by the Software Engineer. Invoices must be submitted by the 5th business day of each month for services rendered in the preceding month. Payment shall be processed within fifteen (15) business days of invoice receipt. All payments are subject to applicable Brazilian tax withholdings, including INSS (social security contribution), IRRF (income tax), and FGTS (severance fund) as required by the Brazilian Federal Revenue Service (Receita Federal).
- Intellectual Property: All software code, documentation, designs, algorithms, and intellectual property created by the Software Engineer in the course of performing services under this Purchase Order shall be the exclusive property of TechNova Solutions Brasil Ltda. The Software Engineer hereby assigns all rights, titles, and interests in such deliverables to the company.
- Confidentiality: The Software Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, client data, and business strategies of TechNova Solutions Brasil Ltda. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Compliance with Brazilian Law: This Purchase Order and all services rendered hereunder shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, including but not limited to the Brazilian Civil Code (Lei 10.406/2002), the Consolidation of Labor Laws (CLT – Decreto-Lei 5.452/1943), and applicable municipal regulations of the Federal District (Distrito Federal) where Brasília is located.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Upon termination, the Software Engineer shall deliver all company property, access credentials, and work-in-progress documentation within five (5) business days.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, disputes shall be submitted to the competent labor courts (Varas do Trabalho) in Brasília – DF, Brazil, in accordance with Brazilian procedural law.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to natural disasters, government decrees, pandemics, or civil unrest affecting the Brasília metropolitan area.
