This Purchase Order authorizes the procurement of qualified Software Engineer professionals to be deployed at our primary development facility located in Canada Montreal. The selected Software Engineer candidates shall be responsible for the design, development, testing, and maintenance of enterprise-grade software applications. All Software Engineer personnel must demonstrate proficiency in modern programming languages including but not limited to Python, Java, TypeScript, and C++, as well as experience with cloud infrastructure services hosted within North American data centres. The Software Engineer team will report directly to the Director of Engineering and will operate under the Agile/Scrum methodology within the Canada Montreal office environment.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable in Canada Montreal. Any disputes arising from this agreement shall be resolved through arbitration in Canada Montreal in accordance with the rules of the Quebec Arbitration Association.
2. Payment Terms: Payment for all Software Engineer services shall be made on a monthly basis, net thirty (30) days from the date of invoice receipt. Invoices must be submitted by the 5th business day of each month. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under the Quebec Civil Code.
3. Compliance: The vendor shall ensure that all Software Engineer placements comply with the Canada Labour Code, the Quebec Act Respecting Labour Standards (Loi sur les normes du travail), and all applicable employment regulations in Canada Montreal. The vendor is responsible for all statutory deductions including CPP, EI, and income tax withholding.
4. Confidentiality and IP: All intellectual property, source code, documentation, and proprietary information created by the Software Engineer team during the term of this Purchase Order shall be the sole property of Northbridge Digital Solutions Inc. The vendor and all Software Engineer personnel shall execute non-disclosure agreements prior to commencing work in Canada Montreal.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the vendor shall ensure a smooth transition of all Software Engineer responsibilities and deliverables. No additional fees beyond the prorated amount for services rendered shall be charged.
6. Performance Standards: Each Software Engineer shall be subject to a ninety (90) day performance evaluation. Failure to meet the agreed-upon performance benchmarks as defined in the Statement of Work attached to this Purchase Order may result in replacement of the Software Engineer at no additional cost to the buyer.
7. Work Location: All Software Engineer personnel shall be physically present at the Canada Montreal office located at 4520 Boulevard René-Lévesque Ouest, Suite 1200, no fewer than four (4) days per week. Remote work on the fifth day is permitted subject to manager approval.
8. Insurance: The vendor shall maintain comprehensive general liability insurance with a minimum coverage of $5,000,000 CAD and professional liability (errors and omissions) insurance of $2,000,000 CAD for the duration of this Purchase Order.
