This Purchase Order is issued by Andes Digital Solutions SpA to formally engage the services of a qualified Software Engineer for the development, maintenance, and optimization of enterprise software systems. The engagement is based in Chile Santiago, where the Software Engineer will operate primarily from the company's headquarters in Las Condes, with the option of hybrid remote work as specified in the attached Statement of Work. This Purchase Order governs all commercial terms, deliverables, and obligations related to the Software Engineer's professional services.

Terms and Conditions

Scope of Work: The Software Engineer shall perform all duties and deliverables as outlined in this Purchase Order and the attached Statement of Work (SOW-2025-00472). All work shall be executed in accordance with the technical specifications approved by the Andes Digital Solutions engineering management team in Chile Santiago.
Work Location: The primary work location for this Purchase Order is the Andes Digital Solutions SpA headquarters located at Av. Apoquindo 4501, Las Condes, Chile Santiago. The Software Engineer is expected to be present on-site a minimum of three (3) business days per week unless a hybrid arrangement is explicitly authorized in writing by the project manager.
Payment Terms: Payment shall be made in monthly installments via electronic bank transfer (transferencia electrónica) to the account designated by the Software Engineer. Invoices must be submitted by the 5th business day of each month for services rendered in the preceding month. Payment will be processed within fifteen (15) business days of invoice receipt. All amounts are denominated in Chilean Pesos (CLP) and are subject to applicable Chilean tax regulations, including IVA (19%) where applicable.
Intellectual Property: All code, documentation, designs, and intellectual property created by the Software Engineer in the course of fulfilling this Purchase Order shall be the exclusive property of Andes Digital Solutions SpA. The Software Engineer hereby assigns all rights, titles, and interests in such deliverables to the company.
Confidentiality: The Software Engineer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, client data, and business strategies of Andes Digital Solutions SpA. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Software Engineer shall be compensated for all services rendered up to the effective date of termination. Andes Digital Solutions SpA reserves the right to terminate this Purchase Order immediately in the event of material breach, gross negligence, or failure to meet agreed-upon deliverable milestones.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Chile. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Chile Santiago, Region Metropolitana. Both parties agree to attempt mediation before initiating any formal legal proceedings.
Compliance: The Software Engineer warrants that all services rendered under this Purchase Order shall comply with all applicable Chilean labor regulations, data protection laws (Ley 19.628 on data protection), and industry standards. The Software Engineer is responsible for maintaining all necessary professional certifications and licenses.
Acceptance of Deliverables: All deliverables produced by the Software Engineer shall be subject to a formal acceptance process. The project manager in Chile Santiago shall have ten (10) business days to review and approve each milestone deliverable. Failure to provide written objection within this period shall constitute acceptance.
Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Chile Santiago or the broader Chilean territory.

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of the Software Engineer in Chile Santiago.
